The form 990 was reviewed by the foundation's management and outside counsel. Furthermore, a copy of form 990 was provided to the audit committee and board of directors prior to filing. Board members posed any questions they had prior to filing.

Form 990, Part VI, Section B, Line 12C

Directors, officers, and key employees are covered under the conflict of interest (coi) policy. The policy checks on whether any director or officer or any of their family members holds a position of owner, director, officer, partner or employee of any organization that does business with ef. It also checks whether or not they are a participant in any organization that may have an interest adverse to the interests of ef or that may cause a conflict of interest in performing their duties. A director or officer deemed to have a material financial or personal interest is not allowed to participate in any discussion involving a transaction related to the coi organization and is not allowed to vote on any such transactions.

The executive committee of the board reviews and approves the compensation for ceo and treasurer through the use of compensation studies and other analysis. All other staff salaries are set by the ef management team and presented to the executive committee of the board for approval.

Prior to july 1st, 2024, david vance wagner, jean ku, danielle fuller-wimbush, piotr kodzis, yunshu ji, and yun cai are employees of and compensated by united states energy foundation (unrelated organization), however, they perform services for the energy foundation. Their salaries and benefits are fully reimbursed by the energy foundation. After july 1st, 2024, these six individuals are full time employees of the energy foundation. In 2024, david vance wagner received $306,611 reportable compensation, $22,484 employer-paid retirement and other deferred compensation, and $40,691 health and other nontaxable benefits. Jean ku received $238,742 reportable compensation, $17,438 employer-paid retirement and other deferred compensation, and $30,079 health and other nontaxable benefits. Danielle fuller-wimbush received $196,619 reportable compensation, $14,385 employer-paid retirement and other deferred compensation, and $36,536 health and other nontaxable benefits. Piotr kodzis received $229,155 reportable compensation, $16,744 employer-paid retirement and other deferred compensation, and $31,539 health and other nontaxable benefits. Yunshu ji received $161,456 reportable compensation, $11,032 employer-paid retirement and other deferred compensation, and $31,175 health and other nontaxable benefits. Yun cai received $138,570 reportable compensation, $10,154 employer-paid retirement and other deferred compensation, and $17,061 health and other nontaxable benefits.

Financial Statement Notes

PART X, LINE 2:

The foundation is a not-for-profit organization and is exempt from federal and state income taxes under section 501(c)(3) of the internal revenue code and section 23701d of the california revenue and taxation code. However, the foundation is subject to income taxes on any net income that is derived from a trade or business, regularly carried on, and not in furtherance of the purposes for which it was granted exemption, commonly referred to as unrelated business income. No income tax provision has been recorded for the years ended december 31, 2024 and 2023, as management determined that the foundation had no unrelated business income. The foundation is subject to accounting for uncertainty in income taxes, under asc 740, income taxes. Asc 740 requires the evaluation of tax positions taken or expected to be taken in the foundation's tax returns and does not allow recognition of tax positions that do not meet a "more-likely-than-not" threshold of being sustained by the applicable tax authority. The foundation does not believe it has taken any tax positions that would not meet this threshold. The foundation's policy is to reflect interest and penalties related to uncertain tax positions as part of income tax expense, when and if they become applicable. The foundation's federal and state income tax returns are subject to possible examination by the taxing authorities until the expiration of the related statutes of limitations on those tax returns. In general, federal income tax returns have a three-year statute of limitations, and state income tax returns have a four-year statute of limitations.
