Directors, officers, and key employees are covered under the ef conflict of interest (coi) policy. The policy checks on whether any director or officer or any of their family members holds a position of owner, director, officer, partner or employee of any organization that does business with ef. It also checks whether or not they are a participant in any organization that may have an interest adverse to the interests of ef or that may cause a conflict of interest in performing their duties. A director or officer deemed to have a material financial or personal interest is not allowed to participate in any discussion involving a transaction related to the coi organization and is not allowed to vote on any such transactions.

The foundation is exempt from federal income taxes under section 501(c)(3) of the internal revenue code ("irc") and california franchise and/or income taxes under section 23701d of the revenue and taxation code. On april 28, 2011, the irs determined that the energy foundation has terminated its private foundation status and has become a tax-exempt public charity. The foundation follows the guidance on accounting for uncertainty in income taxes issued by financial accounting standards board ("fasb") asc topic 740. As of december 31, 2017, management evaluated the foundation's tax positions and concluded that the foundation had maintained its tax-exempt status and had taken no uncertain tax positions that required adjustment to the financial statements.
