Governance Explanations

Form 990, Part VI, Section B, Line 11B

The federal form 990 is prepared by an independent accounting firm in coordination with the senior director of finance prior to filing with the internal revenue service. The draft federal form 990 is reviewed and approved by the co-executive directors and board chair.

Form 990, Part VI, Section B, Line 12C

Any director, officer, employee, or committee member having an interest in a contract or other transaction or determination (all the foregoing referred to as "proposed arrangement") presented to the board of directors or a committee for recommendation, authorization, approval, or ratification shall give a prompt, full and frank disclosure of his/her interest to the board of directors prior to board action on the proposed arrangement. Any person having made a disclosure may make a presentation at a board of directors meeting, but after the presentation, s/he shall leave the meeting during the discussion of and the vote upon the arrangement involving the potential conflict of interest and such person may not be counted in determining the existence of a quorum. The board of directors shall thereby determine by majority vote whether the disclosure indicates that a conflict of interest exists or could reasonably be construed to exist. If the board of directors determines that a conflict of interest exists or could reasonably be construed to exist, the board of directors shall investigate alternatives to the proposed arrangement, and after exercising due diligence, the board of directors shall determine whether the organization can obtain with reasonable effort a more advantageous arrangement.

Form 990, Part VI, Section B, Line 15A

Partners performs an annual review of salaries based on market data and updates its salary matrix accordingly. Employees are hired through the competitive process and initial salaries are being negotiated based on the salary matrix. Once the employee has been hired and salary established, the organization performs an annual evaluation of the employee's performance, and because of this review decisions are made on increasing the salary. According to the internal organizational policy, the annual salary increases are limited to the level of maximum 5%, and lower. Each year the senior management team decides on the maximum percentage of salary increases based on factors such as inflation rates, market data on salary dynamics, etc. Partners president's salary is reviewed annually by the board of directors. The board of directors reviews the annual performance evaluation report and approves results and then decides on a salary increase. The board of directors may also provide a bonus payment if it believes an additional incentive was deserved. Salary increases will be provided to the president in accordance with internal policy and is limited to 5%.

Partnersglobal's income tax returns are subject to review and examination by federal and state taxing authorities. Partnersglobal is not aware of any activities that would jeopardize its tax-exempt status. THE AFP PROGRAM ALSO PROVIDES TECHNICAL ASSISTANCE TO PARTNERS YEMEN AND A CADRE OF HUMAN RIGHTS ACTIVISTS THROUGH A WORKSHOP TO STRENGTHEN THEIR SPECIFIC CAPACITY OF MONITORING, REPORTING, AND DOCUMENTING PAST AND PRESENT VIOLATIONS AND ABUSES, AS WELL AS ON THE ANALYSIS OF ALL THE GATHERED INFORMATION. PARTNERSGLOBAL OFFERS PEER-TO-PEER COACHING AND MENTORING TO YEMENI CIVIL SOCIETY PARTNERS COMMITTED TO ADVANCING HUMAN RIGHTS, WHILE SUPPORTING COMMUNITY FACILITATORS TO ESTABLISH A LOCAL RECONCILIATION COUNCIL IN EACH OF THE TARGETED GOVERNORATES. EACH COUNCIL WILL MOBILIZE GROUPS AROUND SPECIFIC CONFLICT ISSUES WITH THE GOAL OF DECREASING SECTORAL-BASED DIVIDES. THROUGH THE PROJECT'S ACTIVITIES, PARTNERSGLOBAL WILL INCREASE THE LEVEL OF SUBSTANTIVE KNOWLEDGE OF RELEVANT STAKEHOLDERS ON TRANSITIONAL JUSTICE ISSUES, HELPING THEM TO CONTRIBUTE EFFECTIVELY TO BUILDING A DEMOCRATIC POLITICAL SYSTEM THROUGH ACCOUNTABILITY AND REDRESS FOR VICTIMS OF HUMAN RIGHTS ABUSES.THIS FISCAL YEAR, PARTNERSGLOBAL (PARTNERS) AND PARTNERS YEMEN (PY) CONCLUDED ACTIVITIES ON THE ACCOUNTABILITY FOR PEACE (AFP) PROJECT AFTER MORE THAN FIVE YEARS OF IMPLEMENTATION. UNFORTUNATELY, THE PROJECT IS CONCLUDING AMID CONTINUED UNCERTAINTY FOR YEMEN, WITH A HARD-WON TRUCE BETWEEN THE REPUBLIC OF YEMEN GOVERNMENT (ROYG) AND HOUTHI FORCES STALLED. NEVERTHELESS, PY CONTINUED TO WORK TOWARDS TANGIBLE CHANGES IN LOCAL COMMUNITIES THROUGH RECONCILIATION GRANTS. PREVIOUSLY TITLED REFORMING PRE-TRIAL DETENTION IN KUJE PRISON (REFORM KUJE), THE PROJECT IS CURRENTLY IN ITS SECOND PHASE. RPDN ADVOCATES AND BUILDS CAPACITY AMONG A BROAD RANGE OF GON CRIMINAL JUSTICE ACTORS, INCLUDING REPRESENTATIVES OF THE NIGERIA CORRECTIONAL SERVICES (NCOS), THE NIGERIA POLICE FORCE (NPF), COURT OFFICERS, JUDGES, PROSECUTING AGENCIES, THE OFFICE OF THE CHIEF JUDGE (CJ) OF THE FEDERAL CAPITAL TERRITORY (FCT), AND THE ACJMC. THE PROJECT ALSO TRAINS NIGERIAN LAW STUDENTS AND PRO BONO LAWYERS.PARTNERSGLOBAL HAS FORMED A CONSORTIUM WITH THE NETWORK OF UNIVERSITY LEGAL AID INSTITUTIONS NIGERIA (NULAI), PARTNERS WEST AFRICA NIGERIA (PWAN), AND NEW-RULE, LLC (NEW-RULE). CONSORTIUM PARTNERS HAVE MEMORANDUMS OF UNDERSTANDING (MOUS) WITH LAW SCHOOLS IN NIGERIA (UNIVERSITY OF ABUJA, BAZE UNIVERSITY, NILE UNIVERSITY, NASARAWA STATE UNIVERSITY), AND IN THE UNITED STATES (HOWARD UNIVERSITY SCHOOL OF LAW, GEORGETOWN UNIVERSITY LAW CENTER, UNIVERSITY OF MARYLAND CAREY SCHOOL OF LAW).IN REVIEW SESSIONS WITH NCOS, PROJECT PARTNERS SIGNIFICANTLY REDUCED TECHNICAL ERRORS AND OTHER 'BUGS' IN THE DATA MANAGEMENT SYSTEM AND LEARNED ABOUT NCOS' INTENTION TO CENTRALIZE THE SYSTEM ACROSS ALL CORRECTIONS FACILITIES COUNTRY-WIDE AND GIVE ACCESS TO OTHER NATIONAL AGENCIES AND INTERNATIONAL ACTORS, SUCH AS INTERNATIONAL CRIMINAL POLICE ORGANIZATION (INTERPOL) AND THE UNITED NATIONS OFFICE FOR DRUGS AND CRIME (UNODC).SEVEN CHIEF MAGISTRATE AND MAGISTRATE COURTS IN THE FCT ARE NOW ABLE TO USE THE PMS, AN ELECTRONIC DATA MANAGEMENT SYSTEM TO TRACK AND PROCESS CASES MORE EFFECTIVELY. THE CHIEF JUDGE'S HIGH COURT IS NOW ABLE TO USE A VIDEO AND AUDIO TRANSCRIPTION DEVICE TO RECORD COURT PROCEEDINGS. PROJECT PARTNERS HAVE CONDUCTED TRAINING AND MADE MAINTENANCE ARRANGEMENTS AT ALL LOCATIONS.TEN LAWYERS PLACED AS RESIDENT PRO BONO LAWYERS IN PDSS POLICE STATIONS ACROSS THE FCT CONTINUED TO PROVIDE LEGAL SERVICES TO SUSPECTS HELD AT THE STATIONS. OVER THE LAST QUARTER, 103 OUT OF 514 SUSPECTS OF PDSS POLICE STATIONS IN WHICH RPDN PRO BONO LAWYERS WERE REFERRED TO AS AN RPDN PRO BONO LAWYER. THE LAWYERS ARE DEPLOYED BY RPDN PARTNER PWAN IN COLLABORATION WITH THE LACON AND THE NPF. THEY PROVIDE LEGAL ADVICE TO DETAINEES AND OTHER USERS OF THE POLICE STATIONS AND ENSURE THAT THE POLICE OFFICERS COMPLY WITH THE RELEVANT ACJA LEGAL PROVISIONS. OVER THE LAST QUARTER, 88 OUT OF 514 SUSPECTS OF POLICE STATIONS WERE REFERRED TO A RPDN PRO BONO LAWYER. OVER THE ENTIRE PROJECT PERIOD, 127 OUT OF 723 SUSPECTS WERE REFERRED TO RPDN PRO BONO SERVICES.PROJECT PARTNER NULAI OFFICIALLY LAUNCHED THE PERFORMANCE MANAGEMENT SYSTEM (PMS) AND TRAINING MANUAL FOR MAGISTRATE COURTS IN THE FCT ON AT THE DEPARTMENT OF RETURN OF CASES AND ARCHIVES, FCT HIGH COURT COMPLEX, APO ABUJA FCT. A TOTAL OF 27 GUESTS ATTENDED THE EVENT INCLUDING CHIEF JUDGE OF THE FCT, THE INL COUNTRY DIRECTOR, CHIEF REGISTRAR FCT HIGH COURT, REPRESENTATIVES OF THE FCT JUDICIARY AND THE ACJMC, PARTNER WEST AFRICA NIGERIA, RULE OF LAW, AND ANTI-CORRUPTION (ROLAC), UNODC, AND PPDC.THE SYSTEM HELPS MONITORING AND TRACKING THE ASSIGNMENT OF CASES AND ENABLES THE DIRECTOR OF MAGISTRATES/DEPARTMENT OF RETURN OF CASES AND ARCHIVES TO IDENTIFY GAPS AND OBSTACLES TO THE ASSIGNMENT OF CASES AND ENSURING SPEEDIER TRIAL THROUGHOUT THE FCT MAGISTRATE DIVISIONS.
