As of 2/11/2021, the organization's conflict of interest policy applies to all board members, officers and members of committees with board-delegated powers. If a covered person has an actual or possible conflict of interest, they must disclose the existence and nature of their interest to the board or committee members considering a proposed transaction. After such disclosure, the covered individual leaves the meeting, after which the remaining board/committee members determine whether a conflict of interest exists. When appropriate, the board/committee chair may appoint a disinterested person to investigate alternative transactions that woudl not involve a conflict of interest. If a more advantageous transaction that does not involve a conflict is not identified, the board/committee determines by majority vote of the disinterested members whether to enter the transaction. If the board/committee has reason to believe that an individual failed to disclose a conflict of interest, the individual is given the opportunity to explain the alleged failure. If, after such explanation and any necessary follow-up, the board/committee determines that the individual failed to disclose an actual or possible conflict of interest, it will take appropriate disciplinary and/or corrective actions. Each covered individual is required to complete an annual conflict of interest disclosure form.”

The process was timely documented and such documentation was retained by the organization. This process last occurred in 2018. Other officers' compensation was determined by the executive director and reviewed by the board of directors. The organization used salary surveys, forms 990 from other organizations, and an h.r. Consultant to determine reasonable compensation. The process was timely documented and such as of 2/11/2021, the board uses an independent compensation consultant and compensation survey to annually determine the ceo's compensation. The ceo is responsible for conducting the review of other officers' compensation. Compensation was last reviewed in 2021.”

Such requests typically came from governmental agencies and existing lenders or investors involved in the financing or regulatory compliance of qualified low-income housing projects sponsored by the organization or prospective lenders or investors interested in participating in a proposed qualified low-income housing project sponsored by the organization. All bona fide requests were subject to approval by the ceo of the organization, which approval was not unreasonably withheld. As of 2/11/2021, the organization's governing documents and conflict of interest policy are open to public inspection.”
