The organizations mission to make the food system and agriculture biologically sound and socially equitable requires it to find practical ways to tackle big challenges. Governance Explanations

Form 990, Part VI, Section A, Line 6

There is one class of members. Membership shall be granted to an individual or entity that: (1) is certified by oregon tilth and elects to be a member while they remain certified; (2) contributes annual dues to the corporation and elects to be a member; or (3) contributes a one-time substantial contribution, elects to be a member and is granted lifetime membership. No individual or entity may hold more than one membership.

Form 990, Part VI, Section A, Line 7A

Board members are elected annually by majority vote of the members. Each director shall serve an elected three-year term, and may serve no more than two consecutive elected terms, in addition to any partial unexpired terms such director may fill. A director who has served the maximum number of elected terms may serve again after not serving on the board for three years.

Form 990, Part VI, Section B, Line 11B

The draft form 990 is reviewed by the board treasurer and board finance committee prior to filing. The finalized form 990 is subsequently shared with the entire board of directors.

Form 990, Part VI, Section B, Line 12C

We update conflict of interest declarations with our staff, volunteers and contractors on a yearly basis. Prior to assigning an inspector to a particular client file, the conflict of interest declarations are checked to ensure an unbiased inspection and report. The organizations bylaws establish eligibility requirements to serve on the board of directors, which include provisions to prevent potential conflicts of interest.

Form 990, Part VI, Section B, Line 15A

Annually, the board of directors evaluates the performance of the executive director. The evaluation process involves a form and supporting documentation that is reviwed by the board of directors. A compensation increase is determined based on the results of the evaluation and in consideration of comparable market salary data compiled and provided by a third party.

Form 990, Part VI, Section B, Line 15B

Annually, the executive director evaluates the performance of the managing director, finance director and human resources director. The managing director evaluates the performance of the certification director. This annual evaluation process involves a form, documenting performance factors in relation to specified job responsibilities and work objectives assigned during the review period. A compensation increase is determined based on the results of the evaluation and in consideration of comparable market salary data compiled and provided by a third party.

IN 2023, OTCO RESPONDED TO THE LARGEST UPDATES TO THE USDA NATIONAL ORGANIC PROGRAM (NOP) REGULATIONS BY REVISING ESSENTIAL DOCUMENTS, CONDUCTING COMPREHENSIVE TRAININGS, REFINING QUALITY SYSTEMS, AND DEVELOPING DIVERSE RESOURCES TO EDUCATE CLIENTS ON THESE SUBSTANTIAL CHANGES. AT THE ANNUAL USDA NOP CERTIFIER TRAINING, OTCO RECEIVED AN AWARD FOR EXCEEDING REQUIREMENTS FOR DELIVERING HIGH-QUALITY DATA TO THE ORGANIC INTEGRITY DATABASE IN 2023. OTCO WAS ALSO RECOGNIZED WITH THE NOP DIRECTORS AWARD FOR OUTSTANDING CONTRIBUTIONS TO WORK IN ORGANIC CERTIFICATION. A SIGNIFICANT PORTION OF THE ORGANIZATIONS FUNDING COMES FROM FEES CHARGED FOR ANNUAL CERTIFICATION SERVICES.
