Governance Explanations

Form 990, Part VI, Section A, Line 6

There is one class of members. Membership shall be granted to an individual or entity that: (1) is certified by oregon tilth and elects to be a member while they remain certified; (2) contributes annual dues to the corporation and elects to be a member; or (3) contributes a one-time substantial contribution, elects to be a member and is granted lifetime membership. No individual or entity may hold more than one membership.

Form 990, Part VI, Section A, Line 7A

Board members are elected annually by majority vote of the members. Each director shall serve an elected three-year term, and may serve no more than two consecutive elected terms, in addition to any partial unexpired terms such director may fill. A director who has served the maximum number of elected terms may serve again after not serving on the board for three years.

Form 990, Part VI, Section B, Line 11B

The draft form 990 is reviewed by the board treasurer and board finance committee prior to filing. The finalized form 990 is subsequently shared with the entire board of directors.

Form 990, Part VI, Section B, Line 12C

We update conflict of interest declarations with our staff, volunteers and contractors on a yearly basis. Prior to assigning an inspector to a particular client file, the conflict of interest declarations are checked to ensure an unbiased inspection and report. The organizations bylaws establish eligibility requirements to serve on the board of directors, which include provisions to prevent potential conflicts of interest.

Form 990, Part VI, Section B, Line 15A

Annually, the board of directors evaluates the performance of the executive director. The evaluation process involves a form and supporting documentation that is reviwed by the board of directors. A compensation increase is determined based on the results of the evaluation and in consideration of comparable market salary data compiled and provided by a third party.

Form 990, Part VI, Section B, Line 15B

Annually, the executive director evaluates the performance of the managing director, finance director and human resources director. The managing director evaluates the performance of the certification director. This annual evaluation process involves a form, documenting performance factors in relation to specified job responsibilities and work objectives assigned during the review period. A compensation increase is determined based on the results of the evaluation and in consideration of comparable market salary data compiled and provided by a third party.

Form 990, Part VI, Section C, Line 19

Governing documents, including articles of incorporation, bylaws and board policies are made available to the public upon request. Reasonable requests for financial statements are furnished upon request.

THE ORGANIZATION WORKS DIRECTLY WITH PRODUCERS TO HELP THEM UNDERSTAND THE REGULATIONS AND RECORDKEEPING REQUIRED FOR CERTIFICATION. THIS INCLUDES ONE-ON-ONE CONSULTATIONS WITH HUNDREDS OF PRODUCERS ANNUALLY, OUTREACH THROUGH FARMER WORKSHOPS AND CONFERENCES, AND THE DEVELOPMENT OF GUIDES, VIDEOS, AND OTHER RESOURCES. FOR EXAMPLE, ORGANIC LIVESTOCK PRODUCERS MUST TRACK PASTURE USE, FEED, AND OTHER ACTIVITIES. IN 2024, THE ORGANIZATION CREATED A VIDEO THAT EXPLAINS HOW TO CALCULATE DRY MATTER INTAKE FOR DAIRY ANIMALS TO ENSURE COMPLIANCE WITH ORGANIC STANDARDS.

IRS990/ProgSrvcAccomActy2Grp/Desc0ORGANIC EDUCATION PROGRAM: THROUGH EDUCATIONAL INITIATIVES, THE ORGANIZATION PROMOTES FOOD PRODUCTION PRACTICES THAT CONSERVE NATURAL RESOURCES, ENHANCE RESILIENCE TO CLIMATE CHANGE, AND FOSTER HEALTHY, EQUITABLE COMMUNITIES. IN 2024, OREGON TILTH EXPANDED ITS LONG-STANDING NATIONAL PARTNERSHIP WITH THE USDA NATURAL RESOURCES CONSERVATION SERVICE (NRCS) TO GROW FROM ONE TO FIVE JOINT STAFF POSITIONS THAT SUPPORT TECHNICAL AND FINANCIAL ASSISTANCE FOR TRANSITIONING AND ORGANIC FARMERS. BY WORKING WITHIN THE NRCS TO IMPROVE THEIR SUPPORT FOR THESE PRODUCERS, THE ORGANIZATION HAS A LARGE RIPPLE EFFECT ON PROGRAMS THAT ARE PROVIDING BILLIONS OF DOLLARS ANNUALLY TO US AGRICULTURE.THE ORGANIZATION SERVES AS THE PACIFIC NORTHWEST REGIONAL LEAD FOR USDAS TRANSITION TO ORGANIC PARTNERSHIP PROGRAM (TOPP). THE PROGRAM BUILDS ON EXISTING COLLABORATIONS AND CULTIVATES NEW PARTNERSHIPS WITH SERVICE PROVIDERS, PUBLIC AGENCIES, RESEARCH INSTITUTIONS, AND INDUSTRY LEADERS TO EXPAND KNOWLEDGE AND STRENGTHEN SUPPORT FOR TRANSITIONING FARMERS AND ORGANIC AGRICULTURE. INITIATIVES LIKE FARMER-TO-FARMER MENTORSHIP, INDIVIDUAL TECHNICAL ASSISTANCE, EDUCATIONAL FIELD DAYS, AND ACCESSIBLE WEBINARS ARE DESIGNED TO GROW THE ORGANIC SECTOR. TOPP ACTIVITIES HAVE EXPANDED TO INCLUDE WORKFORCE TRAINING FOR NEW AND EXISTING AGRICULTURAL PROFESSIONALS, INCLUDING ORGANIC INSPECTORS.IN 2024, OREGON TILTH EMBARKED ON A NEW PROJECT TO INCREASE AWARENESS, UNDERSTANDING, AND USE OF CROP INSURANCE AND RISK MANAGEMENT TOOLS BY ORGANIC PRODUCERS AND THOSE TRANSITIONING TO ORGANIC. THIS INITIATIVE IS FOCUSED ON ADDRESSING THE DRAMATIC UNDERUTILIZATION OF VITAL FARM SAFETY NET PROGRAMS BY ORGANIC PRODUCERS.THE ORGANIZATION IS COMMITTED TO DIVERSIFYING ITS STAFF, LEADERSHIP, AND THE BROADER ORGANIC SECTOR. IN 2024, PARTNERSHIPS WITH TRIBAL ORGANIZATIONS AND GROUPS SERVING LATINO AND IMMIGRANT FAMILIES INVESTED IN COMMUNITY EVENTS, OUTREACH, STORYTELLING, AND DIRECT SUPPORT TO REMOVE BARRIERS AND BRING RESOURCES TO THESE HISTORICALLY UNDERSERVED COMMUNITIES. A NEW PARTNERSHIP WITH PAUL QUINN COLLEGE, A DALLAS-BASED HISTORICALLY BLACK COLLEGE, PROVIDED STUDENTS WITH REAL-WORLD WORK EXPERIENCE IN THE ORGANIC SECTOR WHILE REDUCING THEIR RELIANCE ON STUDENT LOANS.THE ORGANIZATION WORKS IN STRATEGIC PARTNERSHIPS TO SHAPE PUBLIC POLICY AND GOVERNMENT PROGRAMS AT THE STATE AND FEDERAL LEVELS. IN 2024, THE ORGANIZATION COLLABORATED WITH ADVOCACY PARTNERS TO ENGAGE LEGISLATORS, AGENCY LEADERS, AND UNIVERSITY ADMINISTRATORS THROUGH WRITTEN PUBLIC COMMENTS, ORAL TESTIMONY, AS WELL AS ONLINE AND IN-PERSON MEETINGS. IN THESE ENGAGEMENTS WE DISCUSSED ORGANIC RESEARCH PRIORITIES, RISK-BASED OVERSIGHT OF ORGANIC OPERATIONS, AND FUNDING TO SUPPORT ORGANIC CLIMATE SMART FARMING PRACTICES. BY CONNECTING POLICYMAKERS AND ADMINISTRATORS WITH THE ORGANIC COMMUNITY, THE ORGANIZATION HELPS ENSURE THE SECTORS VALUES AND NEEDS ARE REPRESENTED IN DECISIONS THAT ADVANCE ORGANIC RESEARCH AND EDUCATION, EXPAND MARKETS, AND PROMOTE ORGANIC PRACTICES THAT PROVIDE ENVIRONMENTAL, SOCIAL, AND ECONOMIC BENEFITS.
