Governance Explanations

Form 990, Part VI, Section A, Line 4

On april 20, 2017, the board of directors of race forward passed a resolution to form a strategic affiliation with center for social inclusion, inc. (csi), which became effective july 1, 2017. Race forward entered into a memo of understanding with csi that set the proposed conditions for this strategic affiliation. To implement the structure, race forward became the sole member of csi, with the power to appoint and elect directors and all such other powers and rights provided for under new york state law. The programs developed by csi to address racial inequities within specific issue areas and/or sectors will continue under the strategic affiliation.

The audit committee and executive director review the prepared preliminary draft of the form 990. After their review and approval, a final draft is circulated to the full board of directors and a comment period of at least one-week is allowed for questions or comments before filing.

Board members complete conflict of interest policy statements annually. The executive director and the board chair(s) track any potential conflicts. When potential conflicts are identified, they are disclosed to the full board of directors and the potentially conflicted director is excused from all related conversations.

FORM 990, PART III, LINE 4A, DESCRIPTION OF PROGRAM SERVICE:

In 2017, center for social inclusion(csi) became a subsidiary organization of race forward. Both organizations aligned their program areas, which include institutional and sectoral change, policy strategies, movement and capacity building, and research, impact planning and evaluation. We have been focused on program integration across both organizations, responding to the demands of the current political moment, and expanding our already significant portfolios collectively. Listed below are some key accomplishments in 2017. Movement and capacity building facing race detroit based local coordinator, charles bell, was hired and began working in september. First host committee held, led by the detroit based local coordinator, with over 25 people in attendance. $50,000 sponsorship secured from the kresge foundation facing race site launch prepared and executed smoothly. Training and consulting responded to two major rfps for over $150,000 each with vera institute of justice and earth justice. Work would be conducted throughout 2018 and engage teams across the programmatic departments. We have made it into the final rounds of interviews and reference checking for both these selection processes. Projected to secure a new contract with the national education association building upon the current one from september through december 2017. The 2018 contract is currently in the design phase for the scope of work. This contract should be finalized and signed by eoy 2017. The schedule and site cities for our open to the public trainings know as building racial equity: foundations has been designed and made live on our website. It is our most ambitious plan for these offerings to date. Revenues from these trainings are projected at about $100,000 and are also a client engagement strategy. We expect to train 600 700 individuals through this process. Mass freedom movement building strategy the first fred talk was held on october 21st at the wnyc studios in manhattan. The speakers had engaged in training and coaching for the event since early august. They conducted outreach for the audience. The event, which was free and open to the public sold out tickets a week before the event. The speakers were former political prisoner and black panther party leader sekou odinga, roksana mun from desis rising up and moving and jorge gonzalez from about face: veterans against the war. Author michelle alexander was the headline speaker. Movement and capacity building team members provided framing and audience participation exercises to root the fred talks in our racial justice analysis. The event was overwhelmingly successful. Research, impact planning and evaluation workforce development currently completing our "readiness assessment" reports of three workforce development organizations in different parts of the country (new york city, kentucky, and michigan) to identify key opportunities for the expanded use of a racial equity lens in their internal and external work. These reports build off extensive interviews and surveys. Designed a "readiness assessment" tool (building from the recent restore oakland work, see below) to support the development of organizations in integrating racial equity into operations. Exceeded registrant goals for nov. 15-16 convening of workforce development leaders (approximately 45 and 30 participants, respectively for building racial equity training on day 1, and framing with racial equity lens training on day 2). The two-day convening of workforce development leaders, including members of gare network, provided a building racial equity workshop, along with a supplemental workshop on communications. Restore oakland partnered with roc to desegregate two well-known employers in the bay area (outcomes include increased hiring and promotion of workers of color at higher wage positions, greater wage parity, and development of publicly-facing industry leaders). Management has analyzed the tax positions taken by the organization and has concluded that as of december 31, 2017, there were no uncertain tax positions taken or expected to be taken. The organization has recognized no interest or penalties related to uncertain tax positions. The organization is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. Management believes it is no longer subject to income tax examinations for years prior to 2014.
