“The cccba has a conflict of interest policy which defines the conflict of interest and identifies classes of individuals covered by the policy which include officers, directors, and the executive director. In january of each calendar year, persons covered by this policy will complete a form to disclose or update their interest that could give rise to conflicts of interest, such as a list of family members, substantial business or investment holders, and other transactions or affiliations with businesses, organizations or family members. For each interest disclosed to the president, the president will determine whether to: (a) take no action; (b) assure full disclosure to the board of directors and other individuals covered by this policy; (c) ask the person to recuse him/herself from participation in related discussions or decisions within the cccba; or, (d) ask the person to resign from his or her position within the cccba. The cccba's executive director will monitor proposed or ongoing transactions for conflicts of interest and disclose them to the president in order to deal with potential or actual conflicts, whether discovered before or after the transaction has occured.”

“COMPENSATION OF THE EXECUTIVE DIRECTOR IS REVIEWED AND APPROVED BY THE FINANCE COMMITTEE. THE FINANCE COMMITTEE SHALL annually evaluate the Executive Director on his/her performance, and ask for his/her input on matters of performance and compensation. The FINANCE COMMITTEE will obtain research and information to make a recommendation to the full board for the compensation (salary and benefits) of the Executive Director (and other highly compensated employees or consultants) based on a review of COMPARABLE data to include salary and benefit compensation studies by independent sources, written job offers for positions at similar organizations, documented telephone calls about similar positions at both nonprofit and for-profit organizations, and information obtained from the IRS Form 990 filings of similar organizations. To approve the compensation for the Executive Director (and other highly compensated employees and consultants) the board will document how it reached its decisions, including the data on which it relied, in minutes of the meeting during which the compensation was approved.”
