Any conflicts that come to the attention of the Board at any time during regularly scheduled board meetings are also addressed at such meetings.”
“Compensation policy is established by the Board of Directors and compensation is reviewed on an annual basis by the board compensation committee. Salary ranges for all positions are determined by a review of applicable positions from current published salary surveys for both the wine industry and comparable trade associations and Forms 990 of other organizations. “OTHER PROGRAM SERVICES 4: The communications department directs the communications, public relations and media relations strategies for the Organization. Innovative programming ideas to promote and protect the Napa Valley Appellation and fulfill the mission of the Organization are developed and executed in conjunction with vintner members and industry partners. Program areas of interest include media relations, web site content development, public relations, and member and industry communications. OTHER PROGRAM SERVICES 5: The Name Protection department comprises the Organization's efforts to protect the Napa Name. This includes both domestic and international efforts. Also under the general auspices of this department is the Napa Name Protection Committee that monitors labeling and appellation issues. OTHER PROGRAM SERVICES 6: The community outreach department promotes the activities, events, issues and strategies of the Organization to the local community. Activities include the Adopt a School Program, Napa Neighbor, Afternoon in the Vineyards, and numerous presentations to local community groups. OTHER PROGRAM SERVICES 7: The Industry Issues department handles issues relating to the wine industry. Legal, environmental and social issues are some of the broad topics that fall under this department. It is this department that also proactively addresses projects that may be beneficial to the Napa Valley wine industry or its larger community. OTHER PROGRAM SERVICES 8: Appellation Marketing supports the Organization's marketing goals by developing marketing educational materials (digital and analog) to support trade, media, and consumer programs world-wide.”

Management has considered it's tax positions and believes that all of the positions taken by the Napa Valley Vintners in its federal and state tax exempt organizations tax returns are more likely than not to be sustained upon examination. The Napa Valley Vintners returns may be subject to examination by federal and state taxing authorities. Tax years still open to examination extend back to 2013 for Federal purposes and to 2012 for California purposes.”
