With membership representing every corner of the gaming industry, aga articulates the value of the modern casino gaming industry and promotes its interests at the federal and state level. Our mission is to achieve sound policy and smart regulations that promote innovation and are consistent with gaming's modern appeal and vast economic contributions. Aga leads a rigorous and inclusive process to define our industry's positions on all significant issues, and we support policies that promote industry reinvestment and innovation.

To unite the industry around common issues and needs and be the single most effective advocate for casino gaming.

Form 990, Part VI, Section A, Line 7A

The association has several classes of members, including commercial and tribal casino operators (operator members), gaming suppliers (supplier members), financial institution members, non-gaming vendor-business to business members, non-gaming vendor-business to consumer members, gaming destination members and state association members. There are five tiers of operator members and four tiers of supplier members based on global revenue. Tiers 1, 2 and 3 of operator members and tiers 1 and 2 of supplier members (collectively, voting members) may elect one or more members from each of tier 4 and tier 5 operator members, tier 3 and tier 4 supplier members, financial institution members, non-gaming vendor-business to business members, non-gaming vendor-business to consumer members, gaming destination members and state association members to serve for a one-year term on the association's board of directors (each, an allied director). Allied directors are elected by a plurality of votes by voting members present at a meeting in person or by proxy. Each voting member also is entitled to elect one director to serve on the association's board as its representative.

The form 990 and related schedules are prepared by the organization's certified public accountants under the guidance of the president/ceo. The form 990 is then reviewed internally by the ceo/president in consultation with legal counsel and, as appropriate, further consultation with the organization's certified public accountants. The form 990 is then made available to all of the members of the organization's board of directors prior to its filing.

Directors, officers and key employees complete a conflict of interest survey on an annual basis.

Form 990, Part VI, Section B, Line 15

The compensation of the president and ceo is set by his employment agreement that was approved by the aga board of directors, which is comprised entirely of independent directors. The aga compensation committee, which also is comprised entirely of independent directors, reviews and approves the annual performance bonus for the president and ceo, as well as the compensation of aga's senior officers directly reporting to the president and ceo, and other key employees. As needed, the committee considers comparative industry and trade association compensation data in making compensation decisions. The committee also considers the aga's performance, including financial health, as well as individual performance. Compensation decisions are made at a committee meeting that is documented by minutes. In addition, the aga executive committee, which also is comprised entirely of independent directors, annually approves before the start of each year, an annual bonus pool based on the aga's documented bonus and compensation policies. The award of annual performance bonuses by the committee for officers and key employees, and by the president and ceo for other employees, is contingent on the aga's financial health, as determined by aga's finance and investment committee, which is also comprised entirely of independent directors.
