“The compensation of its president and ceo is set by his employment agreement that was approved by the aga board of directors, which is comprised entirely of independent directors. The aga compensation committee, which also is comprised entirely of independent directors, reviews and approves the annual performance bonus for its president and ceo, as well as the compensation of aga's other officers and key employees. As needed, the committee considers comparative industry and trade association compensation data in making compensation decisions. The committee also considers the aga's performance, including financial health and performance, as well as individual performance. Compensation decisions are made at a committee meeting that is documented by minutes. In addition, the aga executive committee, which also is comprised entirely of independent directors, annually approves before the start of each year, an annual bonus pool based on the aga's documented bonus and compensation policies. The award of annual performance bonuses by the committee for officers and key employees, and by the president and ceo for other employees, is contingent on the aga's financial health and performance, as determined by aga's finance and investment committee, which also is comprised entirely of independent directors.”
