“Amended bylaws to reflect the following changes:1. A quorum is defined as the majority of directors in office immediately before a meeting begins.2. The board may act without meeting if all directors in office consent to the action in writing.3. The board shall have three standing committees: (1) executive, (2) finance and (3) board development; and such additional committees as the board may create.4. The executive committee may exercise the authority of the board, except it may not (1) authorize distributions; (2) approve or recommend dissolution, merger or sale, pledge or transfer of all or substantially all corporate assets; (3) elect, appoint or remove directors or the executive director; or (4) adopt, amend or repeal the articles or bylaws.5. The officer titles of the corporation are the chair, vice chair, secretary, treasurer and executive director.6. The executive director is an officer of the corporation and an ex officio non-voting member of the board. The executive director may be excused from executive sessions in the discretion of the chair. The executive director, subject to the oversight of the board, is responsible for day-to-day management of the corporation.7. Classroom law project shall indemnify any officer, director or employee made, or threatened to be made, a party to any proceeding by reason of being an officer, director or employee, to the fullest extent permitted by law.”

“Board members are asked to notify organization of potential conflict of interest on an annual basis”

“An annual review of key employees is conducted by the executive committee of the board, with all members of the board of directors and all staff members invited to provide performance feedback. The executive committee conducts comparative executive salary review bench marking peer organizations and reviewing organizational salary history as well as performance review findings to develop a compensation recommendation. The executive committee's recommendation is presented to the full board for final approval.”

“Reasonable requests for financial statements and governing documents are furnished upon request. The organization's documents are also available online through guidestar.”

“Other program services 4: teacher support: includes the "oregon civics conference" for teachers, held at the state capitol building in salem, drawing educators from around the state of oregon. The organization also provides private consultations and professional development for educators, attorneys, and others who wish to have lessons ranging from civics for kindergartners, to the constitution for advanced placement high school classes.”
