Governance Explanations

Form 990, Part VI, Line 1A: Explanation of Delegated Broad Authority to Committee

There shall be an Executive Committee of the Board which shall consist of theChair of the Board who shall be chair, the Vice Chair, the Secretary, and theTreasurer. Three members shall constitute a quorum. The Committee shallconsider all questions referred to it by the Board of Directors. The Committeemay act for the Board between meetings of the Board or during any period whenthe Board of Directors is not in session provided that any action has theunanimous approval of all members present and does not have the effect ofreversing an action taken by the Board. The Executive Committee shall not havethe power to take any action reserved to the Board under ORS 65.354(4).

All residents of terwilliger plaza are members of the organization.

Form 990, Part VI, Line 11B: Form 990 Review Process

prior to filing the form 990 is first reviewed by the organizations's cfo with the oversight of the CEO. The 990 is then presented to the Finance Committee for review. The Finance Committee proposes acceptance of the Form for Board approval.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

Board members are required to read and sign a conflict of interest policy agreement annually and to disclose all conflicts of interest immediately as they occur. They are disqualified from voting on any matters for which a confict exists. The board then evaluates the conflict and determines appropriate action.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

The board chair appoints a CEO compensation committee composed of outside board members. The Committee considers the following:-the mission of Terwilliger Plaza and the CEO's role in carrying out that mission -comparability of compensation received by CEO's of similar size CCRC's in Oregon and Washington-the results of the CEO performance evaluation-benefit packages available-the capacity of the Terwilliger Plaza budget and expected revenues-any salary or compensation scale that the Terwilliger Plaza Board may establishThe Committee presents their recommendations of CEO total compensation to the Board. The board then votes on the executive compensation.

Other key employees and officers do not report directly to the board of directors. Wage scales are reviewed annually by the human resources department and approved by the president/ceo.
