Governance Explanations

Form 990, Part VI, Section A, Line 6

The organization has the following categories of members: processor members: any commercial enterprise engaged in processing or manufacturing food products in the states of idaho, oregon, or washington. Supplier members: any business enterprise which supplies goods or services to food processing companies or food northwest. Affiliate members: any commercial enterprise engaged in processing or manufacturing food products outside of the states of idaho, oregon, or washington, upon approval of the board of directors. Associate members: any commercial enterprise engaged in processing or manufacturing food products with combined gross processed or manufactured food sales under a ceiling amount established by the board of directors.

Form 990, Part VI, Section A, Line 7A

The bylaws provide that processor members have voting rights and that the directors are elected by the processor members at the annual meeting of the membership.

Form 990, Part VI, Section B, Line 11B

The 990 is prepared by an independent cpa firm and is tied to the organization's financial statements. The 990 is reviewed by the president and accounting. It is approved and signed by the president. The 990 is made available to the finance committee and board of directors.

Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policy is distributed annually to the board of directors and is reviewed and discussed at the first board meeting of the year. It is discussed in depth at the annual new board member orientation.

Form 990, Part VI, Section B, Line 15

The executive committee reviews, on an annual basis, the compensation of the organization's president and recommends to the board of directors changes that it deems appropriate based on performance and comparable salary survey information. Compensation for all other employees is determined by the organization's president and approved by the board of directors through the budget process.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy and financial statements are made available to the public upon request.
