Governance Explanations

Form 990, Part VI, Section A, Line 2

Jesse Marcos and Tricia Marcos (board members) are married. Diane Rienstra and George Rienstra (board members) are married.

Form 990, Part VI, Section B, Line 11B

The Form 990 is prepared by the Chief Executive Officer of Consilium, Inc. Once the draft is complete, it is distributed electronically to all members of the governing board for review prior to filing. Board members are given adequate time to review the return, ask questions, and provide feedback. Any comments or suggested revisions are discussed and addressed by the CEO before the form is finalized and submitted to the IRS. This process ensures that the board has full visibility into the organization's financial and operational disclosures and affirms its commitment to transparency and accountability.

Form 990, Part VI, Section B, Line 12C

Yes. Schedule O Explanation: Consilium, Inc. regularly and consistently monitors and enforces compliance with its conflict of interest policy through an annual disclosure process. Each board member and officer is required to complete a written conflict of interest disclosure form at the beginning of each fiscal year, affirming their understanding of the policy and disclosing any potential conflicts. In addition, any potential conflict that arises during the year is reviewed by disinterested members of the board, and appropriate actions are documented in board meeting minutes. Individuals with a conflict recuse themselves from related discussions and votes.

Form 990, Part VI, Section B, Line 15

The compensation of the Chief Executive Officer of Consilium, Inc. was determined through an arm's length negotiation with the organization's governing board. The board, consisting of independent members, reviewed compensation data for comparable roles within similarly sized nonprofit organizations in the education and consulting sectors. This comparability data helped ensure that the salary offered was consistent with industry standards and appropriate for the scope and responsibilities of the position. The board's decision was documented contemporaneously, and the final compensation was approved through a formal vote. This process reflects the organization's commitment to fair and transparent compensation practices in accordance with IRS guidelines.

Form 990, Part VI, Section C, Line 19

Consilium, Inc. makes its governing documents, conflict of interest policy, and financial statements available to the public upon request. Individuals may contact the organization directly to request copies of these documents. This practice ensures transparency and public accountability while maintaining appropriate control over the distribution of internal materials.

IRS990/Desc0During the 2024 tax year, Consilium, Inc. provided strategic consulting and technical assistance to multiple Educator Preparation Programs (EPPs) across the state of Texas to improve program design, ensure compliance with state regulations, and maintain accreditation through the Texas Education Agency (TEA). These services are aligned with our mission to strengthen the educator workforce and ensure all students have access to effective, well-prepared teachers. Consilium worked with public universities, community colleges, and alternative certification programs to analyze their current practices, identify areas for improvement, and implement research-based strategies to enhance their effectiveness. Specific activities included: * Program Evaluation and Strategic Planning: Conducted comprehensive program reviews to assess alignment with Texas Administrative Code (TAC) requirements, including curriculum design, field-based experiences, performance assessments, and candidate support systems. Facilitated strategic planning sessions with faculty and leadership teams to set improvement goals and implement action plans. * Compliance and Accreditation Support: Provided guidance to EPPs in interpreting and applying TEA regulations and standards. Supported institutions in preparing for formal reviews, submitting annual compliance reports, and responding to required corrective actions. For several programs, Consilium served as an external advisor to monitor ongoing progress toward accreditation benchmarks. * Data-Driven Improvement: Developed and implemented customized data dashboards and reporting tools to help EPPs monitor key performance indicators, including candidate persistence, certification exam pass rates, field placement quality, and completer outcomes. Trained institutional teams on using data to drive continuous improvement and meet accountability requirements. * Capacity Building and Professional Development: Delivered targeted workshops and one-on-one coaching to build institutional capacity in areas such as field experience coordination, clinical faculty development, candidate assessment, and stakeholder engagement. In some cases, Consilium embedded a consultant in the program to provide ongoing operational support and leadership coaching. * Equity and Access Initiatives: Assisted EPPs in designing initiatives to recruit and support a more diverse pipeline of teacher candidates, particularly candidates of color and those from underserved communities. This included guidance on partnerships with local school districts, community colleges, and workforce development entities to create accessible entry points into the profession. Consilium's work directly contributed to multiple EPPs maintaining their accreditation status, launching new programs, and strengthening their internal systems for continuous improvement. Our support was provided both in response to regulatory needs and through proactive planning and innovation, helping institutions meet the evolving needs of public education in Texas. These efforts ultimately support our broader goal of improving the quality of K-12 education by ensuring that every student in Texas is taught by a highly skilled, well-prepared, and equitably distributed teacher.

IRS990/ProgSrvcAccomActy2Grp/Desc0In 2024, Consilium, Inc. provided in-depth strategic planning services to two education-focused nonprofit organizations-iEducate and Summer House-to strengthen their organizational capacity, clarify their mission-driven goals, and develop actionable plans for sustained impact in public education. iEducate is a nonprofit focused on expanding access to high-impact tutoring by placing college and high school students alongside teachers in underserved classrooms. Consilium worked closely with iEducate's leadership team to develop a comprehensive strategic plan that aligned programming with long-term workforce development goals. Key components of the support included: * Designing a multi-year growth strategy to scale tutoring services in partnership with school districts and educator preparation programs. * Developing a staffing model and organizational chart to support expansion, including new roles for program implementation, compliance, and district engagement. * Facilitating strategic sessions with leadership and board members to define key priorities, metrics for success, and sustainability benchmarks. * Assisting in the identification of public funding sources such as WIOA (Workforce Innovation and Opportunity Act) to support youth employment and training through the tutoring program. * Advising on legislative and philanthropic engagement strategies to advocate for systems-level investment in the educator pipeline. Summer House is a nonprofit focused on expanding access to enrichment and educational opportunities for students in under-resourced communities. Consilium provided strategic guidance to help Summer House transition from a grassroots initiative into a more structured, scalable organization. Activities included: * Leading a strategic planning process to refine the organization's mission, vision, and theory of change. * Supporting the development of an operational framework to guide program implementation and community partnerships. * Providing recommendations for long-term sustainability, including staffing, funding models, and evaluation practices. Consilium's strategic planning support empowered both organizations to strengthen their internal systems, clarify their value propositions, and pursue aligned funding and partnership opportunities. By supporting mission-aligned education nonprofits, Consilium extended its impact beyond direct educator preparation work, contributing to a more robust and equitable educational ecosystem across Texas and beyond.

IRS990/ProgSrvcAccomActy3Grp/Desc0In 2024, Consilium, Inc. advanced its mission to support those in service-oriented leadership by providing free counseling, marriage workshops, and life coaching to pastors, missionaries, and their families. These individuals often face unique mental health challenges due to the emotional demands of ministry, limited access to support, and the high expectations placed upon them. Consilium's work in this area was designed to promote emotional wellness, strengthen relationships, and prevent burnout among those who lead and serve others. Key services included: * Free Individual and Couples Counseling: Licensed counselors and trained professionals provided confidential mental health support to individuals and couples serving in ministry roles. Counseling sessions addressed a range of issues including anxiety, depression, vocational stress, trauma, and marital strain. Services were offered both virtually and in person, depending on client preference and location. * Marriage Workshops and Retreats: Consilium hosted interactive, research-informed marriage enrichment workshops tailored specifically for those in ministry. These sessions focused on enhancing communication, restoring emotional connection, and equipping couples with tools to navigate the pressures of ministry life together. * Life and Leadership Coaching: Ministry leaders received personalized coaching to help them manage transitions, set healthy boundaries, clarify their sense of calling, and build sustainable rhythms for work, rest, and family life. All services were provided at no cost to participants, removing financial barriers that often prevent ministry leaders from seeking professional support. Through these efforts, Consilium served over 100 individuals and couples in 2024, many of whom reported significant personal and relational growth as a result of their engagement. This work reflects Consilium's broader commitment to strengthening the foundations of service leadership. By investing in the emotional health and resilience of pastors, missionaries, and their families, Consilium helped sustain the long-term effectiveness and well-being of those who are essential to community support and care.
