“The executive committee of the board of directors is composed of the board officers and the chairs of the membership support committee and advocacy committee. The executive committee has all of the authority of the board of directors in the management of the business and affairs of the corporation. However, the executive committee does not have the authority of the board in reference to: a. Amending the articles of incorporation; b. Approving a plan of merger or consolidation; c. Recommending to the members the sale, lease, or exchange of all or substantially all of the property and assets of the corporation otherwise than in the usual and regular course of its business; d. Recommending to the members a voluntary dissolution of the corporation or a revocation thereof; e. Amending, altering, or repealing the bylaws or adopting new bylaws; f. Filling vacancies in or removing members of the board of directors; and g. Hiring and termination of executive director. Any and all actions taken by the executive committee are presented and ratified at the next full board meeting.”
