Governance Explanations

Form 990, Part VI, Section B, Line 11B

Staff, the organization's foraker consultant, and the board of directors review and approve the 990 prior to filing.

Form 990, Part VI, Section B, Line 12C

As of 2009, aedc has implemented, by inclusion to the aedc bylaws, a policy that members of the board adhere to financial conflict of interest disclosure requirements, and submit applicable disclosures on an annual basis. Members of the board of directors will be expected to review a list of vendors for which aedc plans to spend in excess of $10,000 in the coming fiscal year and subsequently fill out a disclosures questionnaire identifying any potential conflicts of interest of a financial nature in regards to companies which they or their immediate family members might have a business relationship. Board members with identified conflicts regarding a specific item on the budget spending will be expected to abstain from voting on the approval of the budget spending.

Form 990, Part VI, Section B, Line 15

Compensation for the president/ceo of aedc is set by the collaborative efforts of the officers of the corporation, based on comparisons of similar organizations and consideration of skill set and experience. Increases in compensation are directly correlated to an annual review process, taking into account performance factors for the previous year.

Form 990, Part VI, Section C, Line 18

Aedc provides copies of the irs form 990, or any other applicable governing documents, to any interested parties upon request or by inspection of in-house copies at our offices. Aedc is also aware that digital copies of the irs form 990 are available on the web at guidestar.org and provides annual updates to supplementary information postings in relation to the 990 form posting.

Form 990, Part VI, Section C, Line 19

Governing documents, conflict of interest policy, and financial statements are available upon request with a three-day advance notice.
