Article I Identification small changes with regard to fiscal year and place of business Article II Members no change Article III The Board of Directors changes to add general powers, clarify removal and vacancies, meetings, and rules regarding attendance and quorum. Article IV Officers - changes to clarify election and term of office, roles of board officers and discussion ensues with regard to term limits. Article V Committees Committee roles and responsibilities are delineated within this section. Article VI Standards of Conduct this section is added to outline conflict of interest and other qualifications for directors. Article VII Fiscal Management this section is added to combine earlier references to fiscal policy, including fiscal year, contracts, checks, deposits, gifts, books and records. Article VII Indemnification this section has been improved to outline more details. Article IX Tax Exempt Status added to contain a full recitation for tax exempt status. Article X Amendments the board added a section to require a two-week notice to amend the bylaws. Statement of intent: Current officers will serve out their terms to the September 2017 annual meeting. It is the board's expectation that current Vice Chair Elizabeth Qaulluq Cravalho will succeed to the position of Chair in September 2017. Feb. 11, 2017 Article IV Section 2 of the Bylaws regarding term limits to read: "The officers of the corporation shall be elected by the Board of Directors at its annual meeting. July 15, 2017 Section III.2: Revise wording to read: Directors shall consist of both academics and the general public.”
