Governance Explanations

Form 990, Part VI, Section B, Line 11

The board of trustees' finance and audit committee and the full board of trustees reviewed the 2015 form 990 before it was filed.

Form 990, Part VI, Section B, Line 12C

The organization requires all board members, officers and managers annually to disclose financial interests and personal relationships with potential to give rise to a conflict. Each of them gets a copy of the conflict of interest policy along with a list of vendors and contractors; recipients are required to indicate any interest in the companies listed. All disclosures are reviewed by the board chair, the chair of the board's compliance committee, and the president/ceo. They decide if any potential conflict exists and then follow up with specific individuals as needed, and report to the board of trustees on the completed review process. Individual board members are reminded to abstain from votes if there is a potential conflict of interest. The conflict of interest policy is shared with all new employees and new board members and it is posted on northwest kidney centers' intranet.

Form 990, Part VI, Section B, Line 15

Northwest kidney centers board of trustees' compensation committee reviews the president/ceo's compensation which is based on a written contract. The committee consists of three independent board members who do not receive any compensation from northwest kidney centers. This committee contracts with an independent firm to provide an intermediate sanctions letter (determining the organization is in compliance) for the committee and to meet fiduciary and irs responsibilities. This outside review uses hospital and other health care compensation data to formulate a recommendation on total compensation relative to size, complexity, market location, and nature of the organization. The compensation committee makes a president/ceo salary recommendation to the board of trustees' executive committee, which acts on the recommendation. The process was performed in november 2015 at which time the ceo's multi-year contract was renewed. Data regarding the vice presidents' pay history, current pay and proposed adjustments are provided to the northwest kidney centers compensation committee, which is made up of three independent board members, who determine that such amounts are consistent with market parameters. This process was last performed in september 2016.

Form 990, Part VI, Section C, Line 19

The organization's bylaws, articles of incorporation, conflict of interest policy, and form 990 tax returns are available on request, contact [email protected]. The fiscal year financial results are published in the annual report, available on www.nwkidney.org and distributed in hard copy to approximately 9,000 individuals including patients, staff, physicians, donors, volunteers and the general public.
