The executive committee is comprised of the chair, vice-chair, secretary, treasurer and 3-4 other directors appointed by the chair. It has authority to act on behalf of the board on time-sensitive issues between board meetings and report to the board.

All board members and staff with board designated decision making authority are covered under the policy and required at the beginning of each year declare all potential conflicts. These are then monitored against potential grantees and service providers, any conflicts that arise are then referred to the board chair for oversight and the conflicted individual is removed from any decision making capacity in regards to the conflict.
