Governance Explanations

Form 990, Part VI, Section A, line 1

The Board, by a resolution adopted by a majority of the Directors in office, may designate and appoint one or more standing or temporary committees, each of which shall consist of such number of Directors, if any, as determined by the Board, and invest such committees with such powers as it may see fit, subject to such conditions as may be prescribed by the Board, applicable Washington law and Section 501(c)(3) of the Internal Revenue Code. Such committees shall include, but not be limited to, the Executive Committee, the Finance and Development Committee and the Program Committee. Each committee maintains minutes of meetings.

Form 990, Part VI, Section A, line 2

Bruce R. McCaw and Craig Stewart have a business relationship.

Form 990, Part VI, Section B, line 11B

A draft of the final copy of the Form 990 is emailed to each Director - asking them to review and submit questions/concerns to the Executive Director for clarification prior to filing with the IRS.

Form 990, Part VI, Section B, line 12C

Annually a letter with a copy of the Foundation's Conflict of Interest is mailed to each Director asking them to read the policy, complete the questionnaire and mail back to the Foundation. A new conflict will be addressed during the Executive Session of the next Board meeting; or, before if warranted.

Form 990, Part VI, Section B, line 15

The finance committee reviews the executive director and program director's compensation and compares each based on the united way wage and benefit survey for similar-size organizations.

Form 990, Part VI, Section C, line 19

Governing documents, conflict of interest policy and financial statements are available upon request.
