Per the articles of incorporation, the corporation shall be a membership corporation with three members: our lady of lourdes hospital at pasco, a nonprofit corporation organized under the laws of the state of washington, having its registered office at 520 north fourth avenue, pasco, washington 99301, kadlec regional medical center, a nonprofit corporation organized under the laws of the state of washington having its registered office at 888 swift boulevard, richland, washington 99352, and kennewick public hospital district no.1 dba trios health, a municipal corporation organized under the laws of the state of washington,having its registered office at 900 s. Auburn, kennewick, washington 99336 (the members). There shall be no other members. The corporation may have benefactors who/which shall receive this designation because of their contributions to the corporation, but shall have no voting rights nor other rights.

The owner hospitals appoint community members and physician members to the tri-cities cancer center board, and the owner hospital ceo's sit on the tri-cities cancer center board.

The 3 "members" have reserve powers to adopt the bylaws, amend the articles of incorporation and to approve merger, consolidation or similar re-organization of the corporate structure or dissolution of the corporation. Each member has the right to replace the community director appointed by that member at any time.

The cancer center's compliance plan has a chapter entitled conflict of interest, that gives a policy statement, and overview. It defines conflicts in general, for employees and for board members. It gives penalties for non-compliance. The chapter also covers education, training, auditing and monitoring. Every employee, on-site volunteers and board members have annual education on the compliance plan and sign a form acknowledging the training and identifying any areas they may have a conflict of interest.

The board uses a committee to determine compensation of the ceo. Mgma and executive salary survey data is given to the committee to help determine compensation. The ceo is responsible for reviewing compensation for key staff. Mgma salary survey was used in 2016 to determine comparable data. One of the hospital owners "loaned" their hr director to help evaluate compensation of key employees.

Per financial statements note 1; income taxes under provisions of section 501 (c)(3) of the internal revenue code, the organization is exempt from federal income taxes, except for net income from unrelated business activities. As of december 31, 2016 and 2015, the organization had no unrelated business activities subject to federal income tax. Management evaluated the organization's tax positions and concluded that the center had taken no uncertain tax positions that require adjustments to the consolidated financial statements to comply with the provisions of this guidance.

THESE PROGRAMS CONSIST OF CANCER SCREENING, EARLY DETECTION, PREVENTION OF CANCER, NAVIGATION FOR PATIENTS, CHAPLAIN SERVICES, AND FINANCIAL COUNSELING. IN 2016, 195 WOMEN WERE SCREENED FOR BREAST AND CERVICAL CANCER, 103 PEOPLE WERE SCREENED FOR SKIN CANCER, 83 MEN WERE SCREENED FOR PROSTATE CANCER, 21 PEOPLE WERE SCREENED FOR COLO-RECTAL CANCER, AND 247 PEOPLE WERE SCREENED FOR LUNG CANCER. THE COMMUNITY EDUCATION PROGRAM SPANNED ALL ASPECTS OF CANCER TREATMENT, PREVENTION AND EARLY DETECTION. THERE WERE A TOTAL OF 25 EDUCATIONAL EVENTS HELD IN 2016 WITH 651 COMMUNITY MEMBERS IN ATTENDANCE. OTHER OUTREACH EDUCATIONAL EVENTS ATTENDED BY OUR STAFF SUCH AS HEALTH FAIRS WERE ATTENDED BY 1,606 COMMUNITY MEMBERS. THE TOBACCO CESSATION PROGRAM WAS ATTENDED AND COMPLETED BY 31 COMMUNITY MEMBERS. THE WELLFIT PROGRAM HELD FOR PATIENTS THAT HAVE RECENTLY COMPLETED CANCER TREATMENT IS A PARTNERSHIP WITH A LOCAL GYM AND THIS YEAR 57 PATIENTS TOOK THE WELLFIT CLASSES. SUPPORT GROUPS FOR CANCER PATIENTS WERE ATTENDED BY 552 CANCER PATIENTS OR FAMILY MEMBERS. OTHER PROGRAMS FOR CANCER PATIENTS INCLUDED: FREE FACIALS/SKIN CARE DURING TREATMENT FOR 30 PATIENTS, 47 PATIENTS RECEIVED WIG STYLING FOR PATIENTS WHO HAVE LOST THEIR HAIR, "LOOK GOOD...FEEL BETTER" PROGRAM ATTENDED BY 24 PATIENTS, 144 PATIENTS RECEIVED CHAIR MASSAGES IN THE WAITING AREA. NAVIGATION SERVICES FOR PATIENTS OFFERED FREE OF CHARGE INCLUDE SPECIALLY TRAINED RN'S AND CHAPLAINS SERVICES. THESE SERVICES CONSIST OF HELPING PATIENTS NAVIGATE THE HEALTH SYSTEM TO ENSURE PROMPT TESTING, TREATMENT AND ALSO ENCOMPASSING PSYCH-SOCIAL SUPPORT AND FINANCIAL COUNSELING. THE CHAPLAIN NAVIGATORS SUPPORT THE SPIRITUAL NEEDS OF PATIENTS AND THEIR FAMILIES DURING THEIR CANCER JOURNEY. TOTAL NAVIGATION VISITS IN 2016 WERE 5,808. THE CANCER CENTER HAS SEVERAL CLINICAL PROGRAMS DEDICATED TO GETTING PHYSICIANS OF ALL CANCER RELATED SPECIALTIES IN ONE ROOM DISCUSSING PROSPECTIVELY TREATMENT FOR EVERY INDIVIDUAL PATIENT. WE CALL THESE PROGRAMS CENTERS OF EXCELLENCE (COE). THE BREAST COE REVIEWED 274 BREAST CANCER PATIENT CHARTS. THE THORACIC COE REVIEWED 156 LUNG PATIENT CHARTS. THE GENITO URINARY (GU) COE REVIEWED 143 GU PATIENTS CHARTS.
