“The conflict of interest policy is monitored by the President and Treasurer. Board members are required to disclose any possible conflicts of interest. Whenever a conflict of interest situation arises, the corporate minutes or other records document the nature of the disclosure given regarding the conflict, as well as the Board's proceedings to evaluate the relevant transaction in light of the conflict. An IICRC Associate having a conflict of interest should make sure that his or her absence from discussion and abstention from a vote relating thereto is duly noted in the meeting minutes. The conflict of interest policy contains the following key concepts of which each the IICRC Associate should be mindful: disclose; remove from discussion; abstain from voting; document. When in doubt, Associates are encouraged to ask questions and seek input from other Associates, the Ethics Committee, the IICRC Board, or the IICRC legal counsel.”

“Compensation is reviewed and approved by the Executive Committee or Compensation Committee of the Board of Directors, provided that persons with conflicts of interest with respect to the compensation arrangement at issue are not involved in this review and approval. Compensation is reviewed and approved using data as to comparable compensation for similarly qualified persons in functionally comparable positions at similarly situated organizations. Contemporaneous documentation and recordkeeping with respect to the deliberations and decisions regarding compensation arrangements is maintained by IICRC.”

“The Audit Committee shall be directly responsible for overseeing the independent accounting firm's preparation and issuance of The IICRC's audit reports. The independent accounting firm shall report dually to the Finance and Audit Committees. The Audit Committee shall submit the Independent Auditor's Reports to the Board of Directors at (or prior to) its next regularly scheduled meeting. The Audit Committee shall also assist the Board in monitoring the integrity of the financial statements of The IICRC, as well as the performance and independence of The IICRC's internal financial functions.”
