Governance Explanations

Form 990, Part VI, Section A, line 6

Any banking institution, or corporation duly authorized to conduct banking business and accept deposits within the State of Connecticut, or any holding company thereof, may become a member of the Association, subject to any specific conditions hereinafter adopted by the Board of Directors The Organization has four classes of membership in the Association (1) Regular Member, (2) Financial Services Industry Member, (3) Trust Company Member and (4) Associate Member.

Form 990, Part VI, Section A, line 7A

The Board of Directors is the governing body of the Association. The voting members of the Board include its Chairman, Vice Chairman, Immediate Past Chairman, President & CEO, the Chairmen of the Legislative Committee, and six at-large members. All members of the Board are elected by the full membership. The six at-large members are elected for staggered three year terms with three at-large members being elected each year. The remaining positions are elected for one year terms. Additionally, all officers shall be elected annually by the members except for the President who shall be appointed by the Board of Directors to serve at its pleasure.

Form 990, Part VI, Section A, line 7B

The Association has four separate classes of membership: (1) Regular Members, (2) Financial Services Industry Members, (3) Trust Company Members and (4) Associate Members. Each class of membership carries a different level and ability to influence the governance decisions of the Association. Each Regular Member bank may send one or more representatives to the meetings of the Association; provided, however, that each chief executive officer of a regular member institution, or his or her designee, shall be the delegate of the regular member institution to an Association meeting. Each Regular Member shall be entitled to one vote on each matter submitted to the members for action. Each Regular Member is entitled to all the services and benefits provided by the Association, together with the right to vote, the right to hold office, and the right to be represented on the various committees of the Association. A Financial Service Industry Member shall not be entitled to vote on any matter that comes before the membership of the Association, but may send one or more non-voting representatives to the meetings of the Association; may participate in all activities of the Association without restriction, including service on all committees, excepting the Board of Directors; and is entitled to all services and benefits provided by the Association. Any state or federally chartered trust company duly authorized to conduct a trust business within the State of Connecticut may become a Trust Company Member of the Association. Trust Company Members shall be ineligible to vote or serve as officers or Board of Directors members but may serve as members of other committees of the Association. Associate Company Members shall be entitled to all the services and benefits provided by the Association, but shall be ineligible to vote or serve as officers or committee members unless otherwise authorized by the Board of Directors.

The Form 990, prepared by an independent public accounting firm, is reviewed by the President and Treasurer of the Connecticut Bankers Association. After the President's review, the Form 990 is presented to the Association's board at large for their own review and approval prior to filing.

The Association has a Salary Committee made up of the four officers from the Board of Dierctors that reviews an independent compensation survey for the Organization. The Salary Committee also reviews the CEO's goals, meets with the CEO regarding performance, and then holds an executive session to make final recommendations. Once the review is complete, the Salary Committee's salary recommendation is presented to the entire board during the annual budget meeting and voted upon.

Financial Statement Notes

Part X, Line 2:

The Association is a tax-exempt organization under Section 501(c)(6) of the Internal Revenue Code and is generally exempt from income taxes. U.S. GAAP requires Association management to evaluate tax positions taken by the Association and recognize a tax liability if the organization has taken an uncertain position that more likely than not would not be sustained upon examination by the Internal Revenue Service. The Association is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. As of July 31, 2024 and 2023, there were no material uncertain tax positions related to federal and state tax matters. Interest and penalties, if any, are recorded to income tax expense.
