Governance Explanations

Form 990, Part VI, Section A, Line 1A

The board may delegate some or all of its authority to individual officers, committees, or the executive director. Any delegation of authority by the board shall be in writing and evidenced by the bylaws, the minutes of a meeting of the board, or by a consent to action in lieu of meeting.

Form 990, Part VI, Section B, Line 11B

The finance committee inspects the current year form 990 and provides a full copy to the board prior to the return being filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The board of the bellevue schools foundation has formally adopted a conflict of interest policy. Each board member is provided the conflict of interest policy and conflict of interest form for completion and submission. Follow-up is conducted by a foundation board member or staff to ensure that they are all returned. The board president and/or executive director reviews the conflict of interest forms and reviews board member involvement for any potential areas requiring a conflict of interest disclosure or action. In the event that a conflict of interest did arise, the board would take appropriate action to remedy the situation.

Form 990, Part VI, Section B, Line 15

Bellevue schools foundation reviews various independent non-profit salary reports to assist in the recommendations as to its payroll budget and to identify where they may have competitive issues with the positions relative to those reported in the surveys. The executive director and the finance and operations director analyzed the survey and made recommendations on budget and individual issues. The payroll budget was then approved by the board. The board leadership participated in the individual compensation/benefits decisions for the executive director. The last full compensation review occurred in 2021. The process described here was last completed in 2021.
