Form 990, Part VI, Section B, Line 12C

Any director, officer, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest is an interested person, as it pertains to conflicts of interest. An interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors or members of the committee. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, the interested person must leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted on. The remaining directors or committee members may decide if a conflict of interest exists. If a conflict exists, the interested party may not participate in any discussion or vote pertaining to said conflict. Each director, officer, and member of a committee with governing board delegated powers will annually sign a statement that affirms the person: has received a copy of the conflict of interest policy; has read and understands this policy; and agrees to comply with this policy.
