In conformity with the above determination, the board will make its decision as to whether to enter into the contract, transaction, or arrangement.”

The hr committee of the board of directors engages a consultant to perform a compensation survey and evaluates the compensation of senior leadership management positions, including: *svp/chief financial officer”
