Governance Explanations

Form 990, Part VI, Section A, Line 6

There are several membership options available: builder, associate, life, affiliate, transitional affiliate, not-for-profit affiliate and non-active. See line 7a disclosure for voting rights of the different membership options.

Form 990, Part VI, Section A, Line 7A

Builder, associate and life members all have the same rights, including voting on association actions. The other listed member classes do not have the right to vote on association actions. Any builder or associate member shall be eligible for nomination and election as an officer or council chair, except that the chairman of the remodelers council shall be a builder member. An associate member shall hold the office of secretary and a builder member shall hold the other officer positions. The term of executive mba board positions shall be one year and the majority of directors will be builder members. All other board positions shall be for two year terms.

Form 990, Part VI, Section A, Line 7B

By-laws may be amended by a two-thirds vote of the members present at any meeting of the association; notice of the proposed change having been mailed by the secretary and/or executive director to each eligible builder and associate member.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared with the assistance of an outside cpa firm. The return is first reviewed by the controller and the executive director. After initial review, the return is reviewed in detail with the finance committee. Form 990 is made available to the entire board of directors upon request. The executive director has been delegated the authority to sign the return.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is reviewed annually by the board of directors; acknowledgement of the policy is signed by each board member annually. If a potential conflict arises, the executive director, board president and entire board will be notified. Any person who indicates a potential conflict will be asked to refrain from participation in discussion or voting should it pertain to his/her business interests.

The compensation of the executive director is set by the executive committee of the board of directors with support and analysis from the director of human resources as requested. Supporting data is provided from a compensation subscription service, market research and/or outside compensation consultant. The executive committee approves any changes to the executive director's compensation. The compensation for other officers and key employees is set by the executive director and chief operating officer with support and analysis from the director of human resources. Supporting data for compensation is provided from a compensation subscription service and/or market research data based on job titles and pay bands. Compensation is reviewed annually.
