Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee of the council board of directors shall comprise the president of the board, the first vice president, the second vice president, the treasurer, the secretary, and the immediate past president. The executive committee shall: -act for the council board of directors between meetings only as directed by the board; -develop short-range and long-range goals, consistent with the mission of the council, as the basis for planning and implementation by the board; and -assist the president of the board with the development of issues to be presented at the spring regional meetings. -prior to the start of the new fiscal year of the council, review the budget for the next fiscal year for presentation to the council board of directors; periodically review the budget, investments, financial policies, and financial positions of the council and make recommendations concerning the same to the council board of directors for appropriate action.

As a membership organization, ncarb member boards have certain rights regarding the governance of the organization.

Form 990, Part VI, Section A, Line 7A

The ncarb board of directors is a volunteer board of 12 architects, one public member, and one executive from a state board. Regional directors are nominated by their region. The member board executive ("mbe") director is nominated by the mbe committee. All members of the board are elected by the membership at the annual business meeting. All members of the board of directors serve from the adjournment of said annual meeting until the adjournment of the next following annual meeting or until their successors are duly elected.

The affirmative vote of the majority of all member boards is required to pass a resolution, or two-thirds of all member boards to pass an amendment to the bylaws or remove any member board from membership in the council.

In a documented process, the form 990 is reviewed by members of management and made available to the governing body for review prior to filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is a prominent part of the board handbook given to all new board members. A copy of the policy is sent to all board members once a year before the 990 is filed. Board members are required to sign an annual statement of disclosure each year after elections are held. Additionally, board members are asked to disclose any relationships mentioned in the policy at the beginning of each meeting of the board of directors. The key staff members are made aware of the policy at their time of hire and all key staff have access to the board handbook containing the policy. The organization includes the policy as an attachment to all annual appointment letters given to volunteers asking them to serve on the organization's committees. Counsel to the organization has been asked to bring to the leadership's attention any potential violations of the policy of which he/she becomes aware.

An independent compensation consultant, prm, performed a comprehensive review of all staff salaries. This included significant benchmark analysis. Compensation for all positions (including officers and key employees) is benchmarked regularly by human resources staff. The board of directors establishes and approves ceo compensation; an independent consultant provides benchmark data on ceo compensation to the board each year. The process described here was last completed in 2024.
