Governance Explanations

Form 990, Part VI, Section B, Line 11B

The finance committee reviews the public disclosure copy of the form 990 and approves it before it is filed.

Form 990, Part VI, Section B, Line 12C

All trustees are required to annually read and sign the conflict of interest policy. Additionally the board of trustees holds a discussion to address any possible board conflicts that should be identified and monitored at the annual board meeting.

Form 990, Part VI, Section B, Line 15

The board of trustees determines compensation and establishes goals for the head of the school. A second committee, head's support and evaluation committee, is responsible for preparing and giving the annual evaluation for the head of school. Compensation is determined based on benchmarking information available from other schools of similiar size. The head of school is responsible for determining compensation levels for all other key employees. Salary levels are a function of job performance, years of service and market data accumulated for similiar positions. The head of school determines salary levels, but the board of trustees has ultimate approval authority via their approval of the annual budget that includes all proposed salary increases. Discussions are duly noted in board minutes.
