Governance Explanations

Form 990, Part VI, Section B, Line 11B

All finance committee members, 8 in total, are provided a copy of the complete form 990 for review and approval prior to signing and filing the return. This committee includes members with significant not-for-profit and form 990 background, and their review is fair in the amount of detail. The review and approval is then reported to the entire board of trustees. Additionally, an electronic copy of the return is sent to all trustees after review by the finance committee.

Form 990, Part VI, Section B, Line 12C

All trustees are required to read and sign the conflict of interest policy. Additionally, the board of trustees holds a discussion to address any possible board conflicts that should be identified and monitored at the annual board meeting.

Form 990, Part VI, Section B, Line 15

The executive committee determines compensation and establishes goals for the head of the school. A second committee, head's support and evaluation committee, is responsible for preparing and giving the annual evaluation for the head of school. Compensation is determined based on benchmarking information available from other schools of similiar size. The head of school is responsible for determining compensation levels for all other key employees. Salary levels are a function of job performance, years of service and market data accumulated for similiar positions. The head of school determines salary levels, but the board of trustees has ultimate approval authority via their approval of the annual budget that includes all proposed salary increases.

PART V, LINE 4:

The school's endowment fund consists of various donor restricted endowment funds and funds designated as quasi endowments by the board of trustees. The school's endowment fund consists of approximately 89 individual funds established for a variety of purposes.

PART X, LINE 2:

No provision for income taxes has been made in the financial statements since the school is exempt from federal income taxes under internal revenue code section 501(c)(3). Additionally, the school has done an assessment of any uncertain tax positions and has determined it has no uncertain tax positions to record as a liability at june 30, 2017 and 2016. Form 990, filed by the school, is subject to examination by the internal revenue service up to three years from the extended due date of each return. Generally, the school is no longer subject to income tax examinations by the u.s. Federal, state or local tax authorities for years before 2014.
