Governance Explanations

Form 990, Part VI, Section A, Line 6

The organization considers any donor who gives $5 or more during the tax year to be a member.

Form 990, Part VI, Section A, Line 7A

All members have the ability to vote to elect the board of directors at the organization's annual meeting.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by the organization's cpa, then distributed to the finance committees for review. After this, the full board of directors will review the form 990 prior to filing.

Form 990, Part VI, Section B, Line 12C

Procedure: all staff, interns and volunteers are expected to immediately notify their supervisor or human resources in the event that they have an actual or potential conflict of interest related to their role at the ywca, or if they observe an actual or potential conflict of interest occurring with ywca functions, programs, staff or processes. Supervisors have a particular obligation to role model appropriate and professional boundaries and address real or perceived conflicts of interest immediately, either with their department director, human resources, and/or the ceo. When an employee, intern or volunteer of the ywca becomes aware of the existence of an actual or potential conflict of interest with any ywca functions, programs, staff or processes, these steps must be followed: 1. The employee, intern or volunteer will immediately inform their supervisor. If the employee is the ceo, they will inform the board president. 2. The supervisor, in order to determine the appropriate course of action, will immediately take one or more of the following actions, including but not limited to: a. Gather more detailed information. B. Consult agency documents such as ywca policies and procedure, nasw code of ethics, applicable laws or contractual obligations. C. Consult with the ceo, deputy director, and/or human resources. 3. Upon determination, the course of action will be documented using the conflict of interest documentation form and implemented. The completion of this form will be facilitated and stored by human resources. 4. If the nasw code of ethics or any ywca policy or procedure has been violated, action will be taken as outlined in policy 2.15disciplinary action.

Form 990, Part VI, Section B, Line 15A

The board's executive committee makes a recommendation on the salary of the ceo to the executive committee. The recommendation is based on comparability data from the nonprofit wage and benefit survey, published biennially by washington employers and the united way of king county. The executive committee makes the final determination based on a performance review prepared by the board president, with input from the executive committee members, and available resources.
