“The organization made the following significant changes to its bylaws: article v, officers section 5 1 election. The initial officers shall be those persons named as officers in the articles of organization. Thereafter, the board of directors shall elect from its members a chairperson and shall further elect a president, a treasurer, and a clerk (who must be a resident of the commonwealth of massachusetts) who need not also be directors at the annual meeting of the board of directors (or special meeting in lieu thereof). The board of directors at any time may also elect one or more vice chairs, vice presidents, assistant clerks, assistant secretaries and assistant treasurers or other officers, who need not be directors except for the chair and vice chair(s) who must be directors, as the board of directors deems appropriate. One person may hold more than one office except that the president and the clerk shall not be same person. Section 5.2 term. The chair and any vice chair(s) shall be chosen by the directors from their own number. The position of chair and vice chair will have a term of two years; provided, however, that an individual shall not continue to serve as chair or vice chair if the individual is no longer a director of the corporation. A director shall not serve as chair for more than two consecutive terms. Except as otherwise provided by law, by the articles of organization as amended or by these bylaws, the president, treasurer, and clerk shall hold office until the next annual meeting of the board of directors and until their respective successors are chosen and qualified. With the exception of the chair and any vice chair(s), all other officers shall hold office until the next annual meeting of the board of directors, unless a shorter time is specified in the vote choosing or appointing such officer or officers. Any officer may be reelected to the same office. Section 5.5 powers and duties. The officers shall have the powers and perform the duties customarily belonging to their respective offices or conferred upon them from time to time by the board of directors, including the powers and duties listed below: a. The chair shall set the agenda and preside over all meetings of the board of directors. The chair shall plan for upcoming meetings with the president, prepare a written agenda in advance of all meetings, coordinate the issues to be discussed and the decisions to be made at the meetings, and lead the board of directors to agreement on decisions when possible. B. The vice chair, if any, or if there shall be more than one, the vice chairs in the order determined by the directors, shall assist the chair in the performance of the chair's duties and, shall, in the absence or disability of the chair, perform the duties and exercise the power of the chair. C. The president shall, subject to the direction and control of the board of directors, serve as chief executive officer of the corporation and shall have such other powers and duties as are usually incident to that office. D. The treasurer shall be the chief financial officer of the corporation and shall cause to be kept accurate accounts of all sums received and disbursed. The treasurer shall ensure that corporation exercises due care in the custody and control of all funds, securities and valuable documents of the corporation, except as the directors may otherwise provide. The treasurer shall have such other powers and duties as are usually incident to that office. E. The clerk shall keep the records of the corporation and of the board of directors and shall issue calls and notices of meetings. A temporary assistant clerk chosen at any meeting of the directors may exercise the duties of the clerk at that meeting.”
