“The organzation made the following changes to its bylaws: Article I, General Matters, Section 1.2 Location. The location of the principal office of the corporation shall be at 75 Sidney Street, Cambridge, Massachusetts 02139 or at such other place in the United States as the Directors shall from time to time determine. Article III, Board of Directors, Section 3.2 Election and Term of Office. The term of office of each Director, other than ex-officio members, shall be three (3) years. In order to stagger terms for the Directors serving in 2015 under the previous one (1) year term guideline, the terms of the Directors serving as of January 2015 shall be staggered in accordance with the following provisions: The Directors shall be divided into three (3) groups, with each group containing three (3) or more members. The first group will serve under a one (1) year term ending January of 2016, the second group will serve under a two (2) year term ending in January of 2017 and the third group will serve under a three (3) year term ending in January 2018. Thereafter, at each Annual Meeting of the Board of Directors, the Board of Directors shall elect directors to fill expiring terms, each director to hold office for a term of three (3) years until the directors successor has been elected and qualified, except that in the event of a vacancy, which may be filled at any meeting of the Board of Directors, or in the case of a newly-elected director, the director may be elected to a shorter term as may be appropriate to maintain the balance of staggered terms. Directors shall hold office until their successors are elected and qualified. The Executive Director of the corporation shall serve as an ex-officio member of the Board of Directors, and shall have such other powers and duties as are prescribed to directors in these bylaws. Article V, Officers, Section 5 1 Election. The initial officers shall be those persons named as officers in the Articles of Organization. Thereafter, the Board of Directors shall elect from its members a Chairperson and shall further elect a President, a Treasurer, and a Clerk (who must be a resident of the Commonwealth of Massachusetts) who need not also be Directors at the Annual Meeting of the Board of Directors (or special meeting in lieu thereof). The Board of Directors at any time may also elect such Vice Presidents, Assistant Clerks, Assistant Secretaries and Assistant Treasurers or other officers, who need not also be Directors, as the Board of Directors deems appropriate. One person may hold more than one office. Secretaries and Assistant Treasurers or other officers, who need not also be Directors, as the Board of Directors deems appropriate.
