“Pursuant to the bylaws, the board executive committee, to the extent permitted by the law, has the authority and responsibility of exercising the powers and duties of the board between meetings of the board. The executive committee consists of the chairman, immediate past chairman, vice chairman, ceo, treasurer, and secretary.”

“The board of directors has delegated the review of the form 990 to the audit committee of the board. The draft of the form 990 is distributed to the audit committee and a meeting of the audit committee is held usually at least two weeks before the return is to be filed. All questions and changes proposed by the audit committee are addressed prior to filing the final form 990. The filed version of the form 990 is reviewed with the treasurer (board member) prior to his signing the form 990. An electronic copy of the filed form 990 is sent to all board members before filing with the irs.”

“Annually, the legal counsel distributes a conflict of interest questionnaire and a form 990 template for business and family relationships and business transactions to all board members, officers, legal counsel and financial consultant. A summary of all disclosures is presented to the board of directors. The legal counsel and ceo monitor transactions for potential conflicts based upon such disclosures. If a conflict is identified, the individual with the conflict of interest will not participate in the deliberative discussion or vote on the transaction involved.”

“Legacy connection's ceo and its two vice presidents are compensated by bhhs legacy foundation, an affiliated tax-exempt organization. Bhhs legacy foundation's compensation process is as follows: the compensation committee of the board of directors reviews the ceo's compensation every two years and performance annually. The committee reviews industry surveys published by the council on foundations as well as form 990's from comparable sized regional and national foundations. The committee also reviews the ceo's benefits package as compared to comparable regional and national foundations. The ceo has a two-year employment contract which specifies total compensation and benefits. The renewal of the employment contract is presented to the board of directors for its approval. Other executives' compensation is reviewed annually by the compensation committee and compared to surveys of comparable foundations and form 990. Committee recommendations are presented to the board of directors for its approval. The approval is documented in the board minutes. This process was last completed in 2019.”
