“The association has members that pay annual dues and assessment for membership.”

“Each member shall appoint one individual to serve as a director and act as such member's representative on the board. Additionally, each member shall designate one individual as an alternate to act in the place of the director in case of his or her absence. In accordance with the association's bylaws, members are assessed annually. Those members who pay over a threshold amount in annual dues, that member shall have two votes on the board of directors. The threshold amount is established at the annual meeting of the board of directors as part of the dues schedule. All other members shall have one vote.”

“Decisions are either made by the board at official board meetings or by the board's executive committee which is responsible for all personnel, budget, and policy matters which require timely attention. Decisions at the executive committee meetings are reported at board meetings and are included in those meeting minutes. Decisions of executive committee meetings are reported and shared with the full board. There is also a standing government affairs committee (gac) and occasionally ad hoc committees; however, meeting minutes are not kept for these meetings as final decisions are made at the board or executive committee level.”

“A copy of the 990 is provided to the board members and accepted at the board's annual meeting.”

“No board member will accept any gift, gratuity, compensation or advantage of any kind solely for any action taken by the nra or its committees. To avoid a conflict of interest or the appearance of a potential conflict of interest, no person shall be allowed to serve on the board or its gac, unless that person is employed by a member property. In the event that a perceived, potential or actual conflict of interest should arise, all board members and certain service providers are expected to disclose such conflicts of interest to either the chairman or president. The president will evaluate any issue arising under these rules and take an appropriate course of action to address the matter. Such actions may include but are not limited to recusal of the individual during the discussion, deliberations or decision of the conflict or related issues, presenting the matter to the association chairman, or the board to discuss the conflict and appropriate action.”

“The board of directors shall review and approve the compensation of the association's president annually. No member of the board of directors with a conflict of interest with respect to an individual's compensation shall participiate in the review and approval of such individual's annual compensation.”

“The organization makes its governing documents, including its management and governance policies available to the public upon request.”
