Organizational document changes Part VI line 4

The organization filed its articles of incorporation on january 5, 2021 under the name portland launch collective, later to change the name to brilliance labs with the oregon secretary of state on september 10, 2021. On august 18, 2021 the organization amended and restated the articles of incorporation with the oregon secretary of state. (see attached articles of incorporation-restated)on april 20, 2022 the internal revenue service issued a determination letter exempting brilliance labs as a 501(c)(3) a public charity. (see attached irs determination letter)during the prior period, fiscal year ended june 30, 2021 the organizations bylaws were approved by the board june 22, 2021 (see attached)

The current board of directors will have a complete copy of the form 990 and all related schedules to review. They will have a reasonable period of time to read and comment on the form 990 prior to its electronic filing; allowing time for any recommended changes to be made from their review. This action may be recorded in the minutes of the board.from the board and committee policiesreview of form 990 policyeach director shall be provided a copy of the form 990 for review before it is filed on behalf of the corporation. The board may charge a committee of the board to conduct a more thorough review of the form 990. Conflict of interest policy compliance Part VI line 12C

All board members are required to read, understand and sign a conflict of interest policy. They will periodically read, update (as needed), and sign this active document. See an attached copy of the current version of the conflict of interest policy.when a conflict of interest exists, the board member makes it known and recuses themself leaving the room or the video conference call while the matter is discussed and voted upon.a recent example:the executive director of a 501(c)(3) grant applicant was also the spouse of one of the granting committee members. The granting committee member declared the conflict of interest and recused themself. The remaining members of the granting committee discussed and voted upon the grant. Thereby nulifying any potential conflict of interest.

Please see the attached copy of the board and committee policies for a description of the compensation policy for officers, directors, top management official and key employees. The compensation committee consists of board members who work in the non-profit field and thus have some understanding of standard compensation practices. The committee used online search tools and talked to others who work in the non-profit industry to identify a fair range of compensation. They chose a median number within the range of compensation amounts for the given position. An annual raise is determined based on the national cpi for cost of living adjustments (cola) and a recognized increase in responsibility as the organization continues to grow.

Including holding religious services, evangelism, community service, helping other christian organizations, supporting overseas christian workers, and running christian education programs. Dissolved in 2021 distributing a majority of funds to brilliance labs, also a nonprofit section 501(c)(3) charitable organization. This has been reported on form 990, part viii, line 1f.it is considered an unusual grant and therefore not reported in part ii, section a, line 1, column 2021 of gifts, grants, contributions, and membership fees received. It is considered extraordinary.

The two program services that were not listed on prior years, due to filing form 990n for the short year are as follows:1) the organization began to receive, evaluate and fund grant requests from non-profit christian organizations that have been undersourced and multi-ethnic. We have purposed to develop partnerships, in collaboration and solidarity with these christ-centered churches and non-profits which is producing relationships that grow the body of christ. It is our deepest desire to empower and encourage in a dignified manner and to serve. As we say we exist to serve.2) the organization is enabling the staff to become a friend, mentor, and counselor to church leaders. An encouragement the local church and support their efforts to perform duties integral with leadership.

As our website so well describes our mission: we exist to see multi-ethnic communities and under-resourced neighborhoods flourish through strategic investments into new churches and social good businesses. Our story: in the gospel of john, jesus compares himself and his people to seeds that are planted in the ground. Like christ, when we lay our lives down in service to others, new life grows. For us at brilliance labs, this isnt just a nice saying-its what drives us in all that we do.
