Mission

To foster and promote the common business interests of its members in the consideration of issues pertaining to the production, transportation, storage, and distribution of clean hydrogen.with over 20 leading stakeholder and industry participants, the clean hydrogen future coalition represents a diverse group of energy companies, labor unions, utilities, ngos, equipment suppliers, and project developers who are committed to the advancement of a net zero co2 economy that is supported by infrastructure across the supply chain to fully scale clean hydrogen production and use in the u.s.

The clean hydrogen future coalition (chfc) was founded to bring together a diverse group of stakeholders to promote clean hydrogen as a critical pathway to achieve global decarbonization objectives while also increasing u.s. Global competitiveness.

Governance Explanations

Form 990, Part VI, Section A, Line 6

There shall be two classes of member organizations: (1) full member organizations, and (2) associate member organizations. Both classes of member organizations shall be entitled to participate equially in corporation activities, except that only full member organizations shall be entitled to nominate directors. Each full member organization shall be entitled to nominate one director to the board of directors. Associate member organizations shall not be entitled to nominate any directors and shall be entitled to non-voting reprsentation at meetings of the board. Both classes of member organizations shall be entitled to serve on advisory committees to the board.

The form 990 is prepared by an independent accounting firm from information provided by management. Management then reviews the 990 and determines that the return is consistent with the information it provided. A copy of the form 990 is presented to the board as soon as possible after it's submission.

Form 990, Part VI, Section B, Line 12C

In the event of a potential conflict involving board members, it is the obligation of the board member to bring the matter to the attention of the chairman of the board who will refer the matter to the coalition's outside counsel for review and to make recommendations to the chairman. Any actions taken will be disclosed at the next board meeting. If the chairman of the board has a potential conflict, the chairman is obligated to inform one or more board members who will consult with outside counsel for recommendations and report any action at the next board meeting. Staff with potential conflicts will disclose them in writing to the president who will review them, take appropriate actions and report substantive conflict issues to the chairman of the board on a regular basis. The facts and circumstances surrounding the potential conflict, justification for proceeding with the potential conflict and the recommended course of action to be taken to mitigate participation in the conflict will be documented. At a minimum the mitigation actions will include asking the individual involved in the potential conflict to recuse and absent himself or herself from any involvement in discussions or decisions pertaining to the potential conflict.
