If the interested person abstains or if a conflict is deemed to exist, the chairperson of the board or committee, in his or her sole discretion, may appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. If the transaction or arrangement in which an interested person abstains or a conflict of interest has been determined to exist is nonetheless presented for authorization, approval, or ratification, the interested person shall not vote on, nor use their personal influence on, nor participate (other than to present factual information or to respond to questions) in, the discussions or deliberations with respect to such contract or transaction. Such interested person may be counted in determining whether a quorum is present but may not be counted or be present in the room when the board or a committee thereof deliberates and takes action on the transaction.”
