Governance Explanations

Form 990, Part VI, Section B, line 11B

After review and approval by the Finance Committee, The form 990 is provided to all board members via email. The Board has an opportunity to ask for clarification, provide edits, and make suggestions. Shortly thereafter, the form is submitted to the IRS.

Form 990, Part VI, Section B, line 12C

The Organization regularly and consistently monitors and enforces compliance with the conflict of interest policy. Each Board member signs the conflict of interest policy when they become a board member as well as signing the policy annually. If anyone on the Board feels that they should not vote on a matter before the Board because they have a personal connection, they are expected to voice their concern. At the beginning of each Board meeting, the Chair asks if there are any conflicts of interest. All members are fully aware of this process and our policy. If a member sees or hears something that might be questionable, the concern is brought before the Executive Committee.

Form 990, Part VI, Section B, line 15

Primavera Foundations performance evaluation takes into account the CEOs job description, annual goals and objectives from the work plan, and any other relevant factors identified or approved by the Board. The CEOs annual goals and objectives will be closely tied to the Organizations annual and strategic goals and objectives per its operating plan and strategic initiatives. The evaluation will include the CEOs own self-assessment. The senior leadership team and Executive Assistants assessment, as well as the Boards evaluation of his or her performance. The full Board will review all. The Executive Committee will make recommendations for compensation increases based on salary surveys and salary data from comparable organizations and the outcome of the CEO evaluation. The evaluation will be conducted annually and documented in writing. In all cases, the assessment will provide a permanent record that can be referred to by the CEO and the Board. Compensation increases should not be the primary purpose for conducting the evaluation. Primavera Foundations performance evaluation for other officers and key employees is performed by the CEO on an annual basis. This process takes into account the job description, annual goals, and objectives from the officers departmental work plan, and any other relevant factors identified or approved by the CEO. The annual goals and objectives will be closely tied to the organization's annual and strategic goals and objectives per its operating plan and strategic initiatives. The evaluation will include the officers own self-assessment and any other evaluations the CEO of his or her performance. The CEO will make recommendations for compensation increases based on salary surveys and salary data form comparable organizations and the outcome of the officers evaluation, within budget.

Financial Statement Notes

Part V, Line 4:

Endowment funds are used to support the organization's mission.

Part X, Line 2:

The Organization is exempt from federal and state income taxes under the Federal Internal Revenue Code ("IRC") Section 501(c)(3) and Arizona income tax laws, and is classified as other than a private foundation under IRC Section 509(a)(1). The Organization also qualifies for the charitable contribution deduction under IRC Section 170(b)(1)(a). Accordingly, no provision for federal or state income taxes is recorded in the accompanying financial statements; however, income from certain activities not directly related to the Organization's tax-exempt purpose may be subject to taxation as unrelated business income. Management has considered its tax positions in accordance with the accounting standard for uncertainty in income taxes and believes that all positions taken in its federal and state exempt organization tax returns are more likely than not to be sustained upon examination. In addition, Management is not aware of any matters which would cause the Organization to lose its tax-exempt status. The Organization's returns are subject to examination by federal and state taxing authorities, generally for three years and four years, respectively, after they are filed. Should the Organization ever be subject to interest and penalties related to unrecognized tax benefits, they would be classified in management and general expenses in its accompanying financial statements. During the years ended June 30, 2024 and 2023, the Organization did not recognize any interest and penalties.

IRS990/Desc0EMERGENCY SERVICES - Emergency services programs are often the first contact a person has with the continuum of services offered by Primavera. There are six emergency services programs. Homelessness Intervention and Prevention (HIP) - Through mobile outreach team and/or The Homelessness Intervention and Prevention (HIP) program provides a variety of services to community members experiencing homelessness or unstably housed. HIP serves as a community access point for the Continuum of Care Coordinated Entry System to secure housing in Pima County. HIP also provides basic hygiene supplies, computer access, assistance securing birth certificates and IDs, emergency rental and utility assistance, health care through El Rio Clinic and Hope Inc., and animal care through Pima County Animal Care Center (on-site). During 2023-2024: 4896 Individuals received health and safety assistance including hygiene kits, access to health care and animal care. 519 Individuals received assistance with obtaining birth certificates and identification cards removing lack of documentation as a barrier to accessing housing and employment. 493 people received housing assessments for securing housing 170 households received rent/utility assistance thereby avoiding eviction. Rapid Re-housing - The Rapid Rehousing program provides rent and utility assistance and support services to households experiencing homelessness and prevention services to households at risk of imminent homelessness. 79 households received rapid re-housing services through four programs. 86% of households left the program with sustainable housing. Emergency Men's Shelter - The emergency shelter is an overnight and day shelter which provides goal setting, laundry, meals, showers, hygiene supplies, clothing, referrals. There is case management for jobs, medical, substance abuse, and behavior health. There are educational opportunities including a GED program. 525 men resided in the Men's Shelter. 41% of the men left the shelter with income. 21% left the shelter with a positive exit destination. Family Pathways - Family Pathways is a scattered site emergency shelter program for families of any configuration with minor children who are currently experiencing homelessness. 33 households received emergency shelter with 67% leaving the program with income and 98% with a positive exit destination. Casa Paloma - Casa Paloma includes emergency shelter, transitional housing and a hospitality center/day shelter for unaccompanied women. The center includes laundry, meals, showers, hygiene supplies, clothing, referrals, job opportunities, and respite. The shelter includes case management, goal setting, educational opportunities, medical appointments, and a community garden. 320 women utilized the drop-in program 41 women utilized the shelter program with 59% leaving with income and 47% with a positive/transitional destination exit 9 women utilized the transitional housing program with 100% leaving with income and 100% with a positive destination exit.Project Action for Veterans (PAV) - Project Action for Veterans (PAV) provides housing supportive services and temporary financial assistance to veterans and their families who are facing eviction or homelessness. Services include providing or referring the following: VA benefits; job training assistance; healthcare services; daily living services; personal financial planning; income support; fiduciary and representative payee services; legal assistance; and, childcare. Temporary financial assistance is also provided in the form of rent and utilities, deposits, transportation and moving. 530 households participated in the programs with 56%-79% exiting the program with sustainable housing.

Primavera also leases several offices. Valued at approximately $10,951,248, all but the leased offices and one property are 100% owned without any debt service. Primavera's eighteen owned properties include three office buildings, a resource center, a training center, a community center, three shelters with 60 beds, 42 beds and 17 units, and twelve multifamily rental properties with 150 units valued at a little over $10.8 million. The majority of residents living in the rental housing communities fall into the 50%-80% of the area median income bracket. During the fiscal year, 256 individuals resided in the rental communities. Primavera offered fifteen workshops focused on nutrition, health and wellbeing, meditation and relaxation, and, mental and physical health to rental housing residents. The Property and Asset Management team is responsible for the management and maintenance of all rental, office, and Training, Community, and Resource Center properties. Primavera's goals for developing and managing all properties is to ensure that people have fair access to safe, affordable housing with support to achieve their goals of self-sufficiency; investment in neighborhoods; and, community building and engagement.

Works offers skills assessment, job readiness and job skill development, job coaching, above minimum wages, lunches, transportation, worker supplies, financial education, temporary employment, and opportunities to obtain permanent employment through partnerships with local employers. Primavera Works is also a licensed water harvesting company. 348 individuals enrolled in the program. 48% of participants obtained employment 57% increased hourly wages, and 43% moved into stable housing. 29 water-harvesting systems installed in the community with a collection capacity of 82,000 gallons of water from rainfall. 20 water-harvesting systems installed in the homes of low-income residents. 34 Primavera Works participants received on the job training in water harvesting. $38,750 revenue raised from water harvesting system installations.

IRS990/ProgSrvcAccomActyOtherGrp/Desc0HOME OWNERSHIP EDUCATION, PROMOTION, AND FINANCIAL EMPOWERMENT ($411,738) - HUD certified staff members provide one-on-one counseling, information and educational workshops to help build savings, get out of debt, improve credit scores, and homeownership. Both financial education and homeownership classes are provided in English and Spanish. There are two financial classes for children and mothers (Her Family) and children and their grandparents (Mis Abuelitos) to assist in building savings accounts for the children. At the end of the class, a stipend is deposited into the child's new savings account.193 individuals attended Orientation Classes 109 individuals completed five and a half hours of financial education 93 individuals completed three hours of financial education 75 households completed eight hours of homebuyer education 25 mothers and children participated in the Her Family asset-building program 110 participants participated in housing counseling and financial coaching services 10 households purchased their first home, despite the affordable housing crisis, representing $2,229,000 of homes closed. Comprehensive Community Development - provides multi-sector partnership strategies for achieving sustainable social and economic with a focus on underserved community members and disinvested neighborhoods. Activities include resident leadership development, community gardening, community building initiatives, and support for resident and constituent driven groups. Primavera held co-convenings with other non-profits and government on; workforce development, housing, homeownership, and restorative justice and re-entry. Primavera has three community gardens where residents are able to reserve and plant on plots free of charge.
