“The organization has five classes of members: active, emeritus, special, honorary, and distinguished. Only active members have the right to vote on the admission of active members and upon policy positions of the organization as presented to them by the board of directors. All members on the board of directors have the right to participate in the organization's governance by electing members to the board of directors.”

“The return preparer emails a draft version of form 990 to the organization's vice president of finance & operations who in turn provides a copy of the draft to the organization's president/ceo, chair of the board and treasurer for review prior to filing. A meeting is held to review the return. Comments/changes to the draft are compiled and submitted to the return preparer for revision. After changes are made, the final form 990 is forwarded to the organization's president/ceo for signature. All board members receive a copy of the final form 990 prior to filing. The final is filed as soon as reasonably practicable, but in no event later than (1) the 15th day of the fifth month after the close of the organization's fiscal year, or (2) the extended due date of the return.”

“The organization regularly monitors and enforces compliance with the conflict of interest policy by performing periodic reviews which consist of (1) determining whether compensation arrangements and benefits are reasonable, based on competent survey information, and the results of arm's length bargaining and (2) determining whether partnerships, joint ventures, and arrangements with management organizations conform to gpl's written policies, are properly recorded, reflect reasonable investment or payments for goods and services, and do not result in inurement or in an excess benefit transaction. If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or commitee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.”
