The controller of the foundation for senior living, inc. (fsl), will review the return prior to being submitted to the governing board. The return will also be provided to the fsl board of directors.

Form 990, Part VI, Section B, Line 12C

Everyone on the boards of directors of foundation for senior living (fsl) and its affiliates, and all employees of fsl and its affiliates, are covered under the policy. Any conflicts of interest at the fsl level are discussed and resolved by the fsl board of directors. Any conflicts of interest relating to any of the other fsl affiliate entities are discussed and resolved either by the fsl board of directors, or by the affiliated entity's board of directors. All potential conflicts of interest, regardless of how small or insignificant, are to be reported to the president of the board of directors (or committee chair) prior to engaging in a potential conflict of interest board or committee action. The president will ask the board of directors to make a decision as to whether the relationship is an appropriate one for fsl. The board member declaring the conflict will have no vote on the matter. Moreover, the person having a conflict of interest shall retire from the room in which the board (or its committee) is meeting and shall not participate in the final deliberation regarding the matter under consideration. However, the person shall be permitted to provide the board or committee with any and all relevant information prior to leaving the meeting.

The ceo is compensated by fsl management for services provided to fsl and its related organizations. The compensation is approved by the governing board of fsl. On an annual basis, they are provided with comparability data/compensation studies to determine the compensation. Other officers and directors are provided compensation from fsl management for their services as employees of fsl management, and not for their services as board members of the filing organization. Their compensation is approved by the president.

Form 990, Part III, Line 2

In july 2020, the care by design team was contracted by wildfire to manage and distribute cares act, era, and heaf funds to provide mortgage, rent and utility assistance for those who experienced financial hardships caused by the covid-19 pandemic. Through june 30, 2021, this team distributed $2,942,741. The care by design team added two temporary care coordinator positions to adequately address the workload challenges associated with the cares and era grants.

Form 990, Part III, Line 3

The covid-19 pandemic forced our centers to close april 1, 2020 due to a significant drop in census as community members chose to remain at home to prevent risk of contracting the virus. From july 1st - september 15th, this program billed $0 revenue as programming contined through virtual engagements. Using grant funds received the previous fiscal year, fsl's adhs team created original youtube content featuring everything from cooking classes and gardening to chair exercises and virtual hiking adventures. Additionally, activity kits and weekly newsletters were provided to all clients to provide stimulations, combat isolation, and support family caregivers. Though the three centers reopened september 15th, low census and staffing challenges required us to consolidate services to one center, again closing the other two. The east valley and west valley centers remained closed throughout the remainder of the fiscal year, significantly impacting billable revenues in this program.

During the year ended june 30, 2021, management discovered that a donation received for in-kind facility space valued at $561,678 was received during the year ended june 30, 2020, but was not recorded. At june 30, 2020, net assets with donor restrictions and promises to give were both understated by $545,281, which represents the in-kind facility space to be received in future years.

Fsl programs acts as a representative for their clients to maintain separate accounts for their expenditures. A corresponding liability is maintained for the balance of these accounts.

PART X, LINE 2:

Fsl programs recognizes uncertainty in income taxes in the financial statements when it is more likely-than-not that the positions will not be sustained upon examination by the tax authorities. As of june 30, 2021, fsl programs had no uncertain tax positions that qualify for either recognition or disclosure in the financial statements.

IN JULY 2020, THE CARE BY DESIGN TEAM WAS CONTRACTED BY WILDFIRE TO MANAGE AND DISTRIBUTE CARES ACT, ERA AND HEAF FUNDS TO PROVIDE MORTGAGE, RENT, AND UTILITY ASSISTANCE FOR THOSE WHO EXPERIENCED FINANCIAL HARDSHIPS CAUSED BY THE COVID-19 PANDEMIC. THROUGH JUNE 30, 2021, THIS TEAM DISTRIBUTED $2,942,741. THE CARE BY DESIGN TEAM ADDED TWO TEMPORARY CARE COORDINATOR POSITIONS TO ADEQUATELY ADDRESS THE WORKLOAD CHALLENGES ASSOCIATED WITH THE CARES AND ERA GRANTS.

CLIENTS BENEFIT FROM NURSING SERVICES, PERSONAL CARE ASSISTANCE AND SOCIAL SERVICE CONNECTIONS, ALL OF WHICH HELP THEM MAINTAIN THEIR INDIVIDUAL LEVEL OF INDEPENDENCE. 68,722 HOURS OF CARE WERE PROVIDED TO 294 CLIENTS IN FYE 2021. ALONG WITH PROVIDING SUPERVISION, FSL'S DEDICATED STAFF CREATE MONTHLY THERAPEUTIC RECREATION CALENDARS OFFERING ACTIVITIES TO MEET THE NEEDS OF FSL'S CLIENTS' VARIOUS COGNITIVE AND PHYSICAL ABILITIES. IN ADDITION TO DAILY EXERCISE PROGRAMS, EDUCATIONAL OFFERINGS AND COMMUNITY OUTINGS, 138,528 MILES OF TRANSPORTATION AND 20,385 NUTRITIOUS MEALS WERE PROVIDED TO CLIENTS.THE COVID-19 PANDEMIC FORCED OUR CENTERS TO CLOSE APRIL 1, 2020 DUE TO A SIGNIFICANT DROP IN CENSUS AS COMMUNITY MEMBERS CHOSE TO REMAIN AT HOME TO PREVENT RISK OF CONTRACTING THE VIRUS. FROM APRIL 1ST - SEPTEMBER 15TH, THIS PROGRAM BILLED $0 REVENUE AS PROGRAMMING CONTINUED THROUGH VIRTUAL ENGAGEMENTS UNTIL THE CENTERS COULD BE REOPENED. DURING THIS CLOSURE, USING GRANT FUNDS, FSL'S ADHS TEAM CREATED ORIGINAL YOUTUBE CONTENT FEATURING EVERYTHING FROM COOKING CLASSES AND GARDENING TO CHAIR EXERCISES AND VIRTUAL HIKING ADVENTURES. ADDITIONALLY, ACTIVITY KITS AND WEEKLY NEWSLETTERS WERE PROVIDED TO ALL CLIENTS TO PROVIDE STIMULATION, COMBAT ISOLATION, AND SUPPORT FAMILY CAREGIVERS. IN SEPTEMBER 2020, THE CENTERS REOPENED BUT LOW CENSUS DUE TO CONTINUED SOCIAL DISTANCING PREFERENCES OF CLIENTS, REQUIRED US TO CONSOLIDATE ALL CARE TO ONE CENTER, IN PHOENIX IN NOVEMBER 2020. WE PROVIDED TRANSPORTATION TO CLIENTS FROM THE EAST AND WEST VALLEY AND MONITORED OUR CLIENTS' INTEREST IN RETURNING BEFORE OPENING OUR TEMPE CENTER IN LATE JUNE 2021. AT THE END OF OUR FISCAL YEAR, THE CENTER IN GLENDALE REMAINED CLOSED. DURING THIS TIME, THE CONSTRUCTION OF THE NEW BUILDING IN GLENDALE WAS COMPLETED AND ACHIEVED BUILDING OCCUPANCY AND CERTIFICATION FROM THE ARIZONA DEPARTMENT OF HEALTH AND HUMAN SERVICES. THE PROGRAM WAS RESTRUCTURED FROM A STAFFING POSITION STANDPOINT TO STREAMLINING ROLES TO GAIN A COMPETITIVE EDGE IN AN EVERCHAING EMPLOYMENT MARKET. IN FYE 2021, FSL CARED FOR 115 CLIENTS AND PROVIDED 17,268 HOURS OF RESPITE CARE IN HOMES THROUGHOUT MARICOPA COUNTY. FSL HOME CARE WAS IMPACTED BY THE COVID-19 PANDEMIC AS MANY CLIENTS FELT IT WAS UNSAFE TO ALLOW ANY VISITORS, INCLUDING SUPPORT CARE TEAMS, INTO THEIR HOMES. IN THE SPRING OF 2021 A CONTRACT WITH THE ARIZONA DIVISION OF DEVELOPMENT DISABILITIES (DDD) WAS ADDED TO HOMECARE'S SERVICE DELIVERY MODEL WITH THE INTENTION OF IMPLEMENTING A FAMILY CAREGIVING SERVICE LINE. FSL IS NOW CONTRACTED WITH DDD TO PROVIDE RESPITE, ATTENDANT CARE, AND HABILITATION SERVICES. IT SHOULD BE NOTED FSL CONTINUES TO BE CONTRACTED WITH DDD PROVIDING DAY TREATEMENT PROGRAM SERVICES AT THE RECREACION SITES. FSL HOME HEALTH AGENCY IS MEDICARE-CERTIFIED, LICENSED BY THE ARIZONA DEPARTMENT OF HEALTH SERVICES, AND HAS BEEN PROVIDING SKILLED SERVICES IN THE COMFORT OF PATIENTS' HOMES SINCE 1985. NURSING, PHYSICAL, OCCUPATIONAL AND SPEECH THERAPY, MEDICAL SOCIAL WORK AND HOME HEALTH AIDE ARE OFFERED BASED UPON PATIENT NEED, PHYSICIANS ORDERS AND INSURANCE REQUIREMENTS. SOME PATIENTS RECEIVE ASSISTANCE FOR A SHORT DURATION, AFTER A MEDICAL INCIDENT OR INJURY, WHILE OTHER PATIENTS RECEIVE ONGOING ASSISTANCE TO HELP MANAGE THEIR DISEASE PROCESS. ADDITIONALLY, FSL HOME HEALTH PROVIDES SKILLED HOURLY CARE FOR THE SUPERVISION OF PATIENTS LIVING AT HOME WITH A VENTILATOR OR TRACH. THESE PATIENTS REQUIRE 24-HOUR SUPERVISION, AND WITHOUT THE SERVICES PROVIDED BY FSL, THEY WOULD MOST LIKELY BE INSTITUTIONALIZED. IN TOTAL DURING FYE 2021, FSL HOME HEALTH AGENCY PROVIDED NEARLY 29,061 HOURS OF INTERMITTENT AND VENTILATOR SPECIALTY SKILLED CARE TO 373 PATIENTS. IT SHOULD BE NOTED THE PANDEMIC CREATED SIGNIFICANT CHALLENGES AS IT RELATES TO RECUITMENT AND RETENTION OF HOME HEALTH NURSES. IN JUNE 2021 HOME HEALTH SCALED BACK ITS DELIVERY OF RN VISITS CONSIDERABLY AND FOCUSED ON ENSURING THE SKILLED HOURLY WORKFORCE WAS STABILIZED IN BEING ABLE TO CONTINUE PROVIDING THE SAME LEVEL OF SERVICE FOR INDIVIDUALS RECEIVING VENTILATOR CARE.ALL FSL HOME CARE AND HOME HEALTH SERVICES ARE PROVIDED TO HELP PATIENTS MAINTAIN OR RETURN TO THEIR HIGHEST FUNCTIONAL QUALITY OF LIFE.

IRS990/ProgSrvcAccomActyOtherGrp/Desc0FSL'S COMMUNITY LIVING RESOURCES IS A COMPILATION OF SERVICES DESIGNED TO HELP ENSURE THE PROVISION OF QUALITY CARE IN ASSISTED LIVING AND SKILLED NURSING FACILITIES, PRIMARY CARE AND SPECIALIST PHYSICIAN OFFICES AND ATTENDANT AND DIRECT CARE WORKER PROGRAMS, AS DETERMINED BY THE ARIZONA LONG TERM CARE SERVICES HEALTH PLANS AND ARIZONA DEPARTMENT OF HEALTH SERVICES. THESE SERVICES INCLUDE ANNUAL QUALITY MONITORING AND PERIODIC INVESTIGATIVE AUDITS OF THESE FACILITIES. FOR FYE 2021, 113 QUALITY MONITORING AUDITS WERE PROVIDED TO ENSURE THE RESIDENTS AND PATIENTS' HEALTH AND WELL-BEING. THIS PROGRAM WAS IMPACTED BY THE COVID-19 PANDEMIC AS THESE FACILITIES LIMITED OUTSIDE VISITORS, INCLUDING AUDITORS. SOME CONTRACTED CARE PLANS ALLOWED STAFF TO COMPLETE DESK AUDITS WHILE OTHERS POSTPONED AUDITS UNTIL THE COMMUNITY-SPREAD OF COVID-19 HAS DECREASED TO SAFE LEVELS. IN ADDITION, FSL CONTRACTS WITH INDEPENDENTLY LICENSED ADULT FOSTER CARE PROVIDERS IN THE COMMUNITY WHO PROVIDE 24/7-HOUR CARE FOR MEMBERS ON MERCY CARE LONG TERM CARE WHO NEED ASSISTANCE TO LIVE SAFELY IN A COMMUNITY SETTING. IN FYE 2021, 24,373 SAFE BED NIGHTS WERE PROVIDED TO VULNERABLE ADULTS IN THE COMMUNITY. CLR OPERATES ON A LEAN STAFFING MODEL WITH A TOTAL OF THREE DEDICATED STAFF TO BOTH THE MONITORING AND ADULT FOSTER CARE SERVICES LINES, IN FY21 TOTAL FTE'S IN THIS PROGRAM WERE REDUCED BY 1.5.ACTIVATE (ADVANCE CLIENTS' TRANSITION TO INDEPENDENCE WITH ACTIONS THAT EMPOWER) PROVIDES TRANSITIONAL CARE SERVICES HELPING PEOPLE TO TRANSITION SAFELY FROM HOSPITAL TO HOME WITH A GOAL TO IMPROVE HEALTH OUTCOMES AND TO REDUCE RE-HOSPITALIZATION RATES. FOCUSING ON SOCIAL DETERMINANTS OF HEALTH AND EDUCATION OF DISEASE PROCESS AND RED FLAGS, THIS PROGRAM SERVED 838 HIGH RISK MEMBERS OF THE COMMUNITY AND PROVIDED COMPLIMENTARY ACCESS TO 991 PIECES OF DURABLE MEDICAL EQUIPMENT TO LOW-INCOME PATIENTS. CLIENTS EXPERIENCED IMPROVED HEALTH AND QUALITY OF LIFE. FSL OPERATES TWO COMMUNITY ACTION PROGRAMS (CAPS), SENIOR CENTERS AND FOOD PANTRIES IN THE PEORIA/NW VALLEY AND IN WICKENBURG COMMUNITIES. IN FYE 2021 OUR SITES DISTRIBUTED OVER 300,090 LBS OF FOOD, PROVIDED 3,376 RIDES TO SENIORS, 85,916 MEALS THROUGH OUR CONGREGATE AND HOME DELIVERED MEAL PROGRAMS. DUE TO THE COVID-19 PANDEMIC, FSL'S NUTRITION PROGRAMS ARE CONTINUING TO SEE A 45% INCREASE IN DEMAND. THE CAPS TEAM WAS CONTRACTED BY MARICOPA COUNTY HUMAN SERVICES DEPARTMENT AND THE CITY OF PEORIA TO MANAGE AND DISTRIBUTE FUNDS TO PROVIDE MORTGAGE, RENT AND UTILITY ASSISTANCE FOR THOSE WHO EXPERIENCED FINANCIAL HARDSHIPS CAUSED BY THE COVID-19 PANDEMIC. ADDITIONAL CAPS CASEWORKERS WERE HIRED TO MANAGE THESE PROGRAMS AND THROUGH JUNE 30, 2021, THIS TEAM DISTRIBUTED $12,025,733.
