The controller of the foundation for senior living, inc. (fsl), will review the return prior to being submitted to the governing board. The return will also be provided to the fsl board of directors.

Form 990, Part VI, Section B, Line 12C

Everyone on the boards of directors of foundation for senior living (fsl) and its affiliates, and all employees of fsl and its affiliates, are covered under the policy. Any conflicts of interest at the fsl level are discussed and resolved by the fsl board of directors. Any conflicts of interest relating to any of the other fsl affiliate entities are discussed and resolved either by the fsl board of directors, or by the affiliated entity's board of directors. All potential conflicts of interest, regardless of how small or insignificant, are to be reported to the president of the board of directors (or committee chair) prior to engaging in a potential conflict of interest board or committee action. The president will ask the board of directors to make a decision as to whether the relationship is an appropriate one for fsl. The board member declaring the conflict will have no vote on the matter. Moreover, the person having a conflict of interest shall retire from the room in which the board (or its committee) is meeting and shall not participate in the final deliberation regarding the matter under consideration. However, the person shall be permitted to provide the board or committee with any and all relevant information prior to leaving the meeting.

The ceo is compensated by fsl management for services provided to fsl and its related organizations. The compensation is approved by the governing board of fsl. On an annual basis, they are provided with comparability data/compensation studies to determine the compensation. Other officers and directors are provided compensation from fsl management for their services as employees of fsl management, and not for their services as board members of the filing organization. Their compensation is approved by the president.

Beginning june 2023, fsl home health ceased serving clients and successfully transitioned those existing to alternative home health agencies. In addition, fsl consolidated adult day centers from three to two, closing the phoenix location primarily due to the challenges associated with recruiting and retaining personnel in direct care roles.

Fsl programs acts as a representative for their clients to maintain separate accounts for their expenditures. A corresponding liability is maintained for the balance of these accounts.

PART X, LINE 2:

Fsl programs recognizes uncertainty in income taxes in the financial statements when it is more likely-than-not that the positions will not be sustained upon examination by the tax authorities. As of june 30, 2023, fsl programs had no uncertain tax positions that qualify for either recognition or disclosure in the financial statements.

IN THE FISCAL YEAR 2022-23, FSL CONTINUED ITS COMMITMENT TO PROVIDING SECURE HOUSING BY OFFERING SHELTER TO OVER 1,500 ARIZONANS EACH NIGHT. THIS ENCOMPASSED VARIOUS HOUSING OPTIONS, INCLUDING SINGLE- AND MULTI-FAMILY HOMES, AFFORDABLE HOUSING COMPLEXES, AND RESIDENTIAL BEHAVIORAL HEALTH GROUP HOMES. FSL ALSO ACTIVELY TRAINED AND MONITORED SPONSORS INVOLVED IN ADULT FOSTER CARE AND ADULT BEHAVIORAL HEALTH THERAPEUTIC HOME PROGRAMS. (CONTINUED ON SCHEDULE O)AS THE LARGEST PROVIDER OF WEATHERIZATION SERVICES IN ARIZONA, FSL'S WEATHERIZATION AND HOME IMPROVEMENT INITIATIVES CUT ENERGY BILLS AND IMPROVED HEALTH FOR OVER 8,000 HOMEOWNERS. IN THE AREA OF NUTRITION, FSL PROVIDED 200,000 MEALS TO FAMILIES IN NEED VIA FOOD PANTRIES, CONGREGATE AND HOME-DELIVERED MEAL PROGRAMS. HEALTH AND WELLNESS INITIATIVES PROVIDED TRANSITIONAL CARE FOR OVER 900 PATIENTS UPON HOSPITAL DISCHARGE AND OPERATED ADULT DAY HEALTH FACILITIES, DELIVERING OVER 150,000 HOURS OF RESPITE CARE TO FAMILY CAREGIVERS. THROUGHOUT THE FISCAL YEAR 2022-23, FSL REMAINED STEADFAST IN ITS MISSION, MAKING SIGNIFICANT STRIDES IN ENSURING THE SAFETY, HEALTH, AND WELL-BEING OF ARIZONANS OF ALL AGES.FSL HOME HEALTH AGENCY WAS MEDICARE-CERTIFIED, LICENSED BY THE ARIZONA DEPARTMENT OF HEALTH SERVICES, AND PROVIDED SKILLED SERVICES IN THE COMFORT OF PATIENTS' HOMES BEGINNING IN 1985. IN JUNE OF 2023, THE HOME HEALTH PROGRAM WAS DISCONTINUED DUE TO DIFFICULTY STAFFING NURSES AND THE ABUNDANCE OF OTHER HOME HEALTH AGENCIES IN THE AREA. IN TOTAL DURING FYE 2023, FSL HOME HEALTH AGENCY PROVIDED 16,756 HOURS OF SKILLED CARE TO 12 PATIENTS. THESE PATIENTS REQUIRED 24-HOUR SUPERVISION, AND WITHOUT THE SERVICES PROVIDED BY FSL, THEY WOULD MOST LIKELY BE INSTITUTIONALIZED. ALONG WITH PROVIDING SUPERVISION, FSL'S DEDICATED STAFF CREATE MONTHLY THERAPEUTIC RECREATION CALENDARS OFFERING ACTIVITIES TO MEET THE NEEDS OF FSL'S CLIENTS' VARIOUS COGNITIVE AND PHYSICAL ABILITIES. THESE SERVICES INCLUDE ANNUAL QUALITY MONITORING AND PERIODIC INVESTIGATIVE AUDITS OF THESE FACILITIES. FOR FYE 2023, 404 QUALITY MONITORING AUDITS WERE PROVIDED TO ENSURE THE RESIDENTS AND PATIENTS' HEALTH AND WELL-BEING. TWO OF THE THREE HEALTH PLANS CHOSE TO UTILIZE THEIR OWN INTERNAL STAFF TO CONDUCT MONITORING VISITS BEGINNING IN 2022 WHICH HAS REDUCED FSL MONITORING SERVICES AND STAFFING. ACTIVATE (ADVANCE CLIENTS' TRANSITION TO INDEPENDENCE WITH ACTIONS THAT EMPOWER) PROVIDES TRANSITIONAL CARE SERVICES HELPING PEOPLE TO TRANSITION SAFELY FROM HOSPITAL TO HOME WITH A GOAL TO IMPROVE HEALTH OUTCOMES AND TO REDUCE RE-HOSPITALIZATION RATES. FOCUSING ON SOCIAL DETERMINANTS OF HEALTH AND EDUCATION OF DISEASE PROCESSES AND RED FLAGS, THIS PROGRAM SERVED 910 HIGH-RISK MEMBERS OF THE COMMUNITY AND PROVIDED COMPLIMENTARY ACCESS TO 3,052 PIECES OF DURABLE MEDICAL EQUIPMENT TO LOW-INCOME PATIENTS. CLIENTS EXPERIENCED IMPROVED HEALTH AND QUALITY OF LIFE. FSL OPERATES TWO COMMUNITY ACTION PROGRAMS (CAPS), SENIOR CENTERS AND FOOD PANTRIES IN THE PEORIA/NW VALLEY AND IN WICKENBURG COMMUNITIES.
