Governance Explanations

Form 990, Part VI, Section A, line 6

Membership is open to any individual or organization interested in the aims and purposes of Pima Council on Aging. The board of directors assesses a membership fee for individual or organizational members as it deems appropriate.

Form 990, Part VI, Section A, line 7A

Directors are nominated and elected at the annual meeting of the membership. Only individual or organization members who have paid the required membership fee are eligible to vote at annual or special meetings of Pima Council on Aging.

Form 990, Part VI, Section B, line 11

Form 990 is prepared by an independent CPA and reviewed by the finance committee, CFO and the Treasurer. After the finance committee, CFO and Treasurer approve the draft, a copy is provided to all board members prior to filing.

Form 990, Part VI, Section B, line 12C

Each director, principal officer, and participant on a committee with board-delegated powers shall annually sign a statement which affirms that such person has received a copy of the conflict of interest policy, has read and understands the policy, and has agreed to comply with the policy. When requested by the Board of Directors, or a conflicts Committee (but not less frequently than once per year), each Director and officer shall promptly submit a statement to the Board or conflicts Committee setting forth all business and other affiliations that relate in any way to the business and other affiliations of PCOA.

Form 990, Part VI, Section B, line 15A

The review of the CEO's compensation package is conducted annually in October by the Board's HR Committee and presented to the Executive Committee for approval. An evaluation form is completed by each Board Member and by the management staff reporting directly to the CEO, and submitted to the HR Committee as part of the process. In addition, the HR committee conducted a local survey of salaries and benefits of local nonprofit CEOs and reviewed data in the ASU Lodestar Center 2012 Report on Compensation & Benefits.

Financial Statement Notes

Part V, Line 4:

The Organization's endowments consist of funds established under either donor restriction or as designated by the Board of Directors for a variety of purposes.

Part X, Line 2:

FIN 48 (ASC 740) Footnote from Consolidated Financial Statements: PCOA and Foundation are exempt from income taxes under both federal (Internal Revenue Code Section 501(c)(3)) and Arizona income tax laws, and are classified as other than private foundations. Income from certain activities not directly related to these entities' tax-exempt purpose, however, may be subject to taxation as unrelated business taxable income (UBTI). PCOA for All is taxable as a corporation. Deferred income taxes are provided for temporary differences arising from using the accrual basis of revenue and expense recognition for financial statement purposes and the cash basis of revenue and expense recognition for income tax purposes. Deferred income taxes are also provided for net operating loss carryovers that are available to offset future taxable income. GAAP requires management to perform an evaluation of all tax positions taken or expected to be taken in the course of preparing the Organization's tax returns to determine whether the tax positions meet a "more likely than not" standard of being sustained under examination by the applicable taxing authorities. This evaluation is required to be performed for all open tax years, as defined by the various statutes of limitations, for federal and state purposes. PCOA and Foundation are only subject to income taxes on UBTI. As a result, these entities are required to file informational returns for federal and state purposes and, if it has UBTI, federal and state income tax returns. PCOA for All is required to file federal and state income tax returns. With limited exceptions, the Organization is no longer subject to tax examination for any years earlier than 2011 for federal and 2010 for state. Management has performed its evaluation of tax positions taken on all open tax returns and has determined that there were no positions taken that do not meet the "more likely than not" standard.

IRS990/Desc0Many physiological and socioeconomic factors affect the nutritional status of our community's elders and lead to food insecurity. PCOA addresses these nutritional needs by providing 295,000 well balanced prepared meals to 3,537 individuals who are at nutritional risk. Meals were delivered to homebound individuals and served at 12 Pima County congregate meal settings.The ability to carry out one's daily activities is a measure of both quality of life and independence for most older adults. PCOA's Community Service System assisted 2,095 frail low income older adults with these daily activities. The System provided assistance with bathing, dressing, laundry, housework and changing bed linens.Home Repair and Adaptations corrected health and safety hazards, improved accessibility, maintained heaters and coolers for 559 low income older adults who did not have sufficient income to make the repairs and no family to assist.Family Caregiver Support enhanced and supplemented the care provided by family members who were assisting their elder family members through PCOA staff information and assistance in gaining access to services, support groups, training, and temporary relief from the demands of care giving through in-home respite care.The Medicare Information & Health Insurance Assistance Program assisted 3,511 individuals in making informed decisions regarding Medicare plans including prescription drug plans, resolving claims, billing issues and reviewing existing insurance policy coverage. PCOA also provided classes for new Medicare beneficiaries on how to utilize Medicare.The Long-term Care Ombudsman Program served as an advocate for residents of nursing and assisted living care homes, assisting the residents and their families in resolving problems and care concerns.RSVP provided opportunities for 372 retired and senior volunteers to use their knowledge and skills to assist community agencies and organizations in fulfilling their mission; providing an avenue for older adults to stay connected to their community.Behavioral Health for Older Adults - Suicide Prevention Training educated and mobilized the community to be aware of and respond to suicidal thoughts and behaviors of older adults, training 196 individuals who work with and relate to older adults.Health Promotion for Older Adults-The Arizona Living Well Program provided health and wellness opportunities through three evidence-based health promotion programs for older adults to improve their functional fitness, manage their chronic condition, and address their fear of falling and fall risks. PCOA provided 18 Matter of Balance classes with 179 participants, 6 Chronic Disease Self Management Program classes with 70 participants and 10 ongoing Enhanced Fitness classes with 250 participants.PCOA promoted volunteer and community-based outreach opportunities through the Ambassadors Volunteer Program and Neighbors Care. 83 Ambassador volunteers provided 1,193 volunteer hours and the Neighbors Care program provided 77,751 volunteer hours, reaching 1,397 neighborhood residents.
