HonorHealth's Board of Directors has an Executive & Compensation Committee. THE HONORHEALTH CHAIR SERVES AS THE CHAIR OF THE EXECUTIVE COMMITTEE. THE EXECUTIVE COMMITTEE HAS THE POWER AND AUTHORITY OF THE BOARD OF DIRECTORS TO TRANSACT ALL REGULAR BUSINESS OF THE CORPORATION AND SUCH OTHER MATTERS AS MAY BE DELEGATED TO IT BY THE BOARD DIRECTORS IN THE INTERVALS BETWEEN MEETINGS OF THE BOARD OF DIRECTORS.

Form 990, Part VI, Line 11B Review of form 990 by governing body

The tax return information is gathered by the finance team from various sources within the organization including human resources, payroll, and the legal department. The information is reviewed and compiled into a draft by the honorhealth director tax & treasury. An accounting firm reviews the draft and supporting data and the return is updated for suggested changes. The draft 990 is then reviewed by honorhealth's chief financial officer, network controller, vp of finance, and general counsel. Comments from those individuals are considered and incorporated into a final draft. Prior to filing, the form 990 is distributed to the board of directors of honorhealth.

Form 990, Part VI, Line 12C Conflict of interest policy

Honorhealth monitors and enforces compliance with its conflict of interest policy through education and annual/ongoing reporting. Each year, honorhealth conducts an annual conflict of interest review. This process requires all directors, officers and key employees to complete a conflict of interest disclosure statement. The audit & compliance services department will review all reported disclosures, discuss with and/or request additional information regarding any potential conflict from the disclosing party, if appropriate, and determine, in consultation with the honorhealth's general counsel, whether a actual or perceived conflict of interest exists. If the reported disclosure can be managed in such a way that a conflict of interest does not present itself, or can be reasonably assured of such, the audit & compliance services department will derive a management plan to address it, which is shared with and agreed upon by the disclosing party. If the reported disclosure cannot be managed in such a way to avoid a conflict, the audit & compliance services department will discuss options for addressing the conflict with honorhealth's general counsel, which may result in discontinuance of relationship with honorhealth, removal from the board or governing board committees, removal from an employment role, termination of a contractual agreement or other such actions to eliminate the conflict with honorhealth's business. The audit & compliance committee of the honorhealth board receives an annual summary of all disclosed potential or actual conflicts to ensure they have been reviewed and processed in accordance with the honorhealth conflict of interest policy.

Form 990, Part III, Line 4A PROGRAM SERVICE DESCRIPTION

Formed after the merger of scottsdale healthcare and john c. Lincoln health network, honorhealth is a non-profit health system with six acute-care hospitals, one surgical specialty center, one rehabilitation hospital, six emergency departments - one of them a freestanding center in north phoenix - and three level i trauma centers. Honorhealth sonoran crossing medical center, the network's sixth medical center, opened in september 2020. Honorhealth's mission is to improve the health and well-being of those we serve. Five of honorhealth's acute care hospitals have achieved magnet designation from the american nurses credentialing center. This prestigious recognition ensures that patients receive the gold standard for nursing care, an honor earned by only 8 percent of the nation's hospitals. Magnet is considered the highest recognition for nursing excellence. The health system encompasses approximately 12,300 employees, 3,700 physicians on its medical staff and 3,100 volunteers. Honorhealth's hospital campuses are: honorhealth john c. Lincoln medical center: with 262 beds, this hospital serves north central phoenix, is a leader in robotic and scarless surgery and offers extensive cardiac imaging and heart services. Recognized as an american college of surgeons-verified level i trauma center serving severely injured patients, the hospital also provides a care program for trauma patients age 60 and older. The hospital is a cardiac arrest center certified by the arizona department of health services and a primary stroke center. Other services include medical/surgical care; intensive care unit; cardiovascular intensive and progressive care; cardiac, orthopedic and cardiac surgery; neurosurgery; urology; neurology; reconstructive surgery; and inpatient and outpatient medical imaging. On the campus are: - inpatient and outpatient rehabilitation services - an outpatient surgery center - a satellite breast health and research center - a general surgery residency program honorhealth deer valley medical center: the 204-bed hospital serves the rapidly growing northern phoenix area as well as communities to the north along interstate 17. The hospital is home to the breast health and research center, which offers advanced diagnostic technology that includes 3-d digital mammography, an on-site mri, bone density screenings, body composition assessments and care coordination. Deer valley medical center is a cardiac arrest center certified by the arizona department of health services and a primary stroke center. The facility provides a wide range of state-of-the-art inpatient and outpatient services including: a level i trauma center; a care program for trauma patients age 60 and older; a pediatric emergency center; a complete range of personalized inpatient and outpatient care; emergency care; a critical care unit; a progressive cardiac care unit; an orthopedic unit; cancer care; medical/surgical and telemetry units and an outpatient surgery center. General surgery residents train here and at honorhealth john c. Lincoln medical center. Honorhealth scottsdale osborn medical center: this 325-bed, full-service hospital is known for its trauma, orthopedics, neurosurgery, neurosciences, cardiovascular services and critical care. Honorhealth has served the community for more than 90 years through outreach programs such as desert mission, the honorhealth foundation and through its affiliation with neighborhood outreach to access health ("noah"). Desert mission, inc.: provides community services for the vulnerable in the community, including a food bank, lincoln learning center, adult day health care and living well: financial career and home success. Noah: noah operates as an independent 501(c)(3) organization and provides affordable, quality care for underserved individuals at community health centers. Honorhealth foundation: provides the philanthropy to support, enhance and grow honorhealth. Honorhealth's board of directors is made up of community leaders. Honorhealth maintains an open medical staff policy, participates in medicare and medicaid programs as well as other government health programs. Honorhealth's emergency rooms and trauma care centers are open to patients regardless of ability to pay, pursuant to its financial assistance policy.
