Desert mission, inc. Does not have employees but shares the cost of personnel, services, facilities and expenses with scottsdale healthcare hospitals (dba honorhealth), a related tax-exempt organization.

Form 990, Part VI, Line 1A

Pursuant to the bylaws, the executive committee has the power to act on behalf of the board between board meetings. All matters of major importance brought before the executive committee shall be referred to the board. The executive committee may not authorize distributions, fill board or committee vacancies, or adopt, amend or repeal the articles of incorporation or bylaws. The executive committee is comprised of the board chair, secretary, treasurer, governance committee chair, program committee chair and the executive director of desert mission, inc.

The board of honorhealth has the authority to approve or disapprove the following: any proposal for the merger, consolidation or dissolution of the corporation; any amendment to the articles of incorporation or bylaws; proposed operating and capital budgets for the corporation; any proposed borrowing with certain exceptions; any purchase, sale, lease, exchange, disposition, etc. Of any asset in excess of a certain dollar value; the engagement or disengagement of the independent auditor and corporate counsel; any transaction in which a director or officer has a material financial interest; and any transaction of the corporation which the honorhealth board determines to represent a major transaction or major policy issue.

The tax return information is gathered by the finance team from various sources within the organization including human resources, payroll, and the legal department. The information is reviewed by the honorhealth director tax & treasury and provided to an accounting firm that prepares the returns. An initial draft is reviewed by honorhealth's network controller, vp of finance, general counsel and desert mission's executive director. Comments from those individuals are considered and incorporated into a final draft. Prior to filing, the form 990 is distributed to the board of directors of honorhealth, a tax-exempt organization and desert missions sole member.

Form 990, Part VI, Line 12C

HonorHealth, on behalf of desert mission, inc., monitors and enforces compliance with its conflict of interest policy through education and annual/ongoing reporting. Each year, HonorHealth conducts an annual conflict of interest review. This process requires all directors, officers and key employees to complete a conflict of interest disclosure statement. The Audit & Compliance Services Department will review all reported disclosures, discuss with and/or request additional information regarding any potential conflict from the disclosing party, if appropriate, and determine, in consultation with the HonorHealths General Counsel, whether a actual or perceived conflict of interest exists. If the reported disclosure can be managed in such a way that a conflict of interest does not present itself, or can be reasonably assured of such, the Audit & Compliance Services Department will derive a management plan to address it, which is shared with and agreed upon by the disclosing party. If the reported disclosure cannot be managed in such a way to avoid a conflict, the Audit & Compliance Services Department will discuss options for addressing the conflict with HonorHealths General Counsel, which may result in discontinuance of relationship with HonorHealth, removal from the Board or governing board committees, removal from an employment role, termination of a contractual agreement or other such actions to eliminate the conflict with HonorHealths business. The Audit & Compliance Committee of the HonorHealth Board receives an annual summary of all disclosed potential or actual conflicts to ensure they have been reviewed and processed in accordance with the HonorHealth conflict of interest policy.

An executive compensation consultant conducts detailed market analysis for executive cash compensation. The consultant utilizes available published healthcare survey sources. Executive positions are matched to appropriate survey positions based on job content, duties and scope of responsibility. Survey data is matched from organizations of similar size and scope. Results of the study are shared with the board for approval. The study was last completed in 2018.

Desert mission, inc. Was established in 1927 to address the health and social needs of families in the north phoenix desert community. Today, desert mission, inc. Continues to help individuals and families meet their basic needs and become self-sufficient. Desert mission, inc. Served 34,980 people in 2018 in north phoenix. The population desert mission, inc. Serves is diverse in age, ethnicity, and economic and social circumstance. Most are working poor families and/or living on a fixed income. Services include a food bank, childcare/early learning center, senior enrichment program, financial counseling, case management, nutrition education and workforce development. Desert mission, inc.'s strongest partner is scottsdale healthcare hospitals (dba honorhealth), a local non-profit health organization. Desert mission, inc. Rounds out honorhealth's core healthcare business by addressing the community's broader health needs. In return, honorhealth provides in-kind administrative support for information technology, human resources, fundraising, legal and accounting.

Adult day healthcare: many members of our community provide care for their senior family members. To support these families, desert mission, inc. Offers adult day healthcare, a place where seniors can spend the day in a setting thats friendly, dignified and stimulating while caregivers enjoy a break from their responsibilities. The professional staff at adult day healthcare welcomes seniors into an active environment that includes health monitoring by a registered nurse. Seniors enjoy activities both on and off site, including: - arts and crafts, - bingo and other table games, - ladder golf, horseshoes and other activities, - discussions about current events, - stretching, - trips to movies, museums and restaurants (including door-to-door transportation), - intergenerational activities with children at lincoln learning center, - breakfast and snacks, - personal care and hygiene, as needed, - and much more. Caregivers also are offered social services and counseling to help them in their role.
