“The Company calculates income taxes using the liability method, under which deferred tax assets and liabilities are determined based upon the differences between the financial accounting and tax basis of assets and liabilities. The Company recognizes the tax benefit from uncertain tax positions, only if it is more likely than not that the tax positions will be sustained on examination by the tax authorities, based on the technical merits of the position. The tax benefit is measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The Company annually reviews its uncertain tax positions, and based on this review, has not recorded any expense or accrued for any uncertain tax positions as of December 31, 2024 or 2023. The statute of limitations for tax returns filed for years 2021 through 2024 remain open in U.S. tax jurisdictions in which the Company is subject to taxation.”
