Pursuant to the bylaws, the executive committee has the power to act on behalf of the board between board meetings. All matters of major importance brought before the executive committee shall be referred to the board. The executive committee may not authorize distributions, fill board or committee vacancies, or adopt, amend or repeal the articles of incorporation or bylaws. The executive committee is comprised of the board chair, secretary, treasurer, governance committee chair, program committee chair and the executive director of desert mission, inc.

Certain executives of desert mission are compensated by honorhealth, a related tax-exempt organization. The compensation of desert mission's executive director is determined based upon market data obtained from third party software, operational need, and internal equity.

THE DRAFT 990 IS THEN REVIEWED BY Desert Mission's Executive Director, HONORHEALTH'S CHIEF FINANCIAL OFFICER, NETWORK CONTROLLER, VP of Treasury and Investments, GENERAL COUNSEL, AND VP OF GOVERNMENT & COMMUNITY AFFAIRS. COMMENTS FROM THOSE INDIVIDUALS ARE CONSIDERED AND INCORPORATED INTO A FINAL DRAFT. PRIOR TO FILING, THE FORM 990 IS DISTRIBUTED TO THE BOARD OF DIRECTORS OF HONORHEALTH, A TAX-EXEMPT ORGANIZATION AND DESERT MISSION'S SOLE MEMBER.

Form 990, Part VI, Line 12C Conflict of interest policy

HONORHEALTH, ON BEHALF OF DESERT MISSION, INC., MONITORS AND ENFORCES COMPLIANCE WITH ITS CONFLICT OF INTEREST POLICY THROUGH EDUCATION AND ANNUAL/ONGOING REPORTING. Directors, officers and key employees are among the individuals required to annually review HonorHealth's Conflict of Interest Policy and complete an annual disclosure statement. The Audit & Compliance department oversees the review of all reported disclosures annually to determine if an actual or perceived conflict exists. Additional information is requested from the disclosing party as necessary. HonorHealth's General Counsel is consulted when possible conflicts are identified. If the reported disclosure can be managed in such a way that a conflict of interest does not present itself, the Audit & Compliance department will derive a management plan which is shared with and agreed upon by the disclosing party. If the reported disclosure cannot be managed in such a way to avoid a conflict, the Audit & Compliance department will discuss options for addressing the conflict with HonorHealth's General Counsel. Possible actions include discontinuance of relationship with HonorHealth, removal from committees, removal from specific employment role, or the termination of a contractual agreement. The Nominating and Governance Committee of the HonorHealth Board receives an annual summary of all disclosed potential or actual conflicts to ensure they have been reviewed and processed in accordance with the HonorHealth Conflict of Interest Policy.

Desert mission food bank - services include: -57,626 households received nutrition assistance in 2024 -a snack pack program providing nutritious kid-friendly food packs to children at risk of going hungry over the weekend -7,445 snack packs given to children in schools, libraries and community centers in 2024 -monthly developmentally appropriate food packages for newborns to one-year olds 2. Lincoln learning center - services include: -providing a solid educational foundation to children regardless of their socioeconomic background - 274 children received early care and education in 2024 -ensuring that children from ages six weeks to 12 years have access to a quality education in a safe, healthy and state certified environment 3. Adult day healthcare - services include: -a senior enrichment program that offers coordinated, professional and compassionate services for adults who need supervised care in a safe place outside the home - 63 seniors attended adult day healthcare in 2024 -providing adult participants the opportunity to interact with youngsters which helps the seniors stay engaged and energized

The Company calculates income taxes using the liability method, under which deferred tax assets and liabilities are determined based upon the differences between the financial accounting and tax basis of assets and liabilities. The Company recognizes the tax benefit from uncertain tax positions, only if it is more likely than not that the tax positions will be sustained on examination by the tax authorities, based on the technical merits of the position. The tax benefit is measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The Company annually reviews its uncertain tax positions, and based on this review, has not recorded any expense or accrued for any uncertain tax positions as of December 31, 2024 or 2023. The statute of limitations for tax returns filed for years 2021 through 2024 remain open in U.S. tax jurisdictions in which the Company is subject to taxation.

LINCOLN LEARNING CENTER IS ACCREDITED BY THE NATIONAL ASSOCIATION FOR THE EDUCATION OF YOUNG CHILDREN (NAEYC). DURING THE 2024 SCHOOL YEAR 274 CHILDREN PARTICIPATED IN BEFORE AND AFTER SCHOOL PROGRAMS, AND IN-CLASS SUPPORT. THE CENTER'S EARLY CHILDHOOD EDUCATION CURRICULUM PROVIDES YOUNG CHILDREN WITH THE STRONG START THEY NEED TO SUCCEED IN SCHOOL AND LIFE. LINCOLN LEARNING CENTER PRE-K STUDENTS HAVE A 98 PERCENT KINDERGARTEN READINESS RATE.

SERVICES ARE DESIGNED TO PROVIDE SOCIAL, INCLUDING INTERGENERATIONAL ACTIVITIES WITH THE CHILDREN ATTENDING THE LINCOLN LEARNING CENTER, AND SOME HEALTH SERVICES TO ADULTS WHO NEED SUPERVISED CARE IN A SAFE PLACE OUTSIDE THE HOME DURING THE DAY. ADULT DAY HEALTHCARE: MANY MEMBERS OF OUR COMMUNITY PROVIDE CARE FOR THEIR SENIOR FAMILY MEMBERS. TO SUPPORT THESE FAMILIES, DESERT MISSION, INC. OFFERS ADULT DAY HEALTHCARE, A PLACE WHERE SENIORS CAN SPEND THE DAY IN A SETTING THAT'S FRIENDLY, DIGNIFIED AND STIMULATING WHILE CAREGIVERS ENJOY A BREAK FROM THEIR RESPONSIBILITIES. THE PROFESSIONAL STAFF AT ADULT DAY HEALTHCARE WELCOMES SENIORS INTO AN ACTIVE ENVIRONMENT THAT INCLUDES HEALTH MONITORING BY A REGISTERED NURSE. SENIORS ENJOY ACTIVITIES BOTH ON AND OFF SITE. CAREGIVERS ALSO ARE OFFERED SOCIAL SERVICES AND COUNSELING TO HELP THEM IN THEIR ROLE. 63 SENIORS ATTENDED ADULT DAY HEALTHCARE IN 2024.
