The chamber's executive committee consists of the board chair, chair-elect, immediate past chair, the vice chair of each of the nine operating groups, up to five other board members as elected by the chair, the secretary/ treasurer, a vice chair representing the phoenix center for community development, inc. And two non-voting members, the president/ceo of the chamber and the chamber's general counsel member. The executive committee has the responsibility over the affairs of the chamber and acts on behalf of the board in any emergency, but does not have the authority to submit to the members any matter that requires an act of the members, fill vacancies on the board of directors or a committee thereof, or adopt, amend, or repeal the articles of incorporation or bylaws the executive committee also exercises oversight over the president/ceo of the chamber including approving terms of employment, subject to approval of the board of directors

The form 990 is prepared by fester & chapman, pllc with the help of the director of finance. The form is then reviewed by an independent accounting firm and signed by the president and ceo.

Kevin quigley, our legal counsel from law firm quarles & brady llp, distributes the conflict of interest policies every june and reviews the submitted annual statements before turning them over to the chamber staff. The staff files these statements in our permanent records. The chamber's conflict of interest policy covers directors, officers and members of committees with board-delegated powers. All covered persons have a duty to disclose any actual or possible conflict of interest to the directors or other committee members. In the event of a conflict, the board or commitiee will meet, discuss and vote upon the transaction or arrangement. The interested person may participate in the discussions on the matter but is prohibited from voting on the matter. The minutes of the board and committee meetings document all disclosures of substantial interests by covered persons.

Todd sanders was promoted to the president/ceo in may 2009. David bruno, an executive recruiter line from dhr international, was retained to conduct the search and reported to a subcommittee of the board of directors. As part of the search, he developed the compensation package which was reviewed and approved by the board of directors.
