“All persons, corporations, partnerships, businesses, associations and other entities interested in the industrial, commercial or economic well-being of the phoenix area, or who desire to preserve and promote the objectives of the corporation herein known as the greater phoenix chamber of commerce, are eligible for membership, subject to approval by the board of directors.”

“The chamber's federal form 990 is prepared by han group, llc. The draft form 990 is then reviewed by the vice president of finance and operations, along with an outside cpa firm providing accounting support to the chamber. After these reviews, the vice president of finance & operations reviews the return with the president & ceo. Then, the return is provided to the full board of directors for review and approval. Once this process is complete, the president & ceo signs the e-file authorization form and han group llc electronically files the return.”

“The chamber distributes the conflict of interest policies annually and collects the executed policies. Ryan curtis, our legal counsel from law firm fennemore craig, reviews the conflict of interest policies annually. The staff files these statements in our permanent records. The chamber's conflict of interest policy covers directors, officers, and members of committees with board delegated powers. All covered persons have a duty to disclose any actual or possible conflict of interest to the directors or other committee members. In the event of a conflict, the board of directors or committee will meet, discuss, and vote upon the transaction or arrangement. The interested person may participate in the discussions on the matter but is prohibited from voting on the matter. The minutes of the board and committee meetings document all disclosures of substantial interests by covered persons.”

“Todd sanders was promoted to the president & ceo position in may 2009. David bruno, an executive recruiter from dhr international was retained to conduct the search and reported to a subcommittee of the board of directors. As part of the search, he developed the compensation package which was reviewed and approved by the board of directors. In addition, in accordance with the greater phoenix chamber of commerce bylaws, there is a human resource/compensation committee that consists of three members of the board of directors (board) appointed annually by the chairman of the board of directors and confirmed by the board of directors. The human resource/compensation committee ensures that the compensation of the president and chief executive office is reasonable and appropriate. The process was last conducted in october 2024. The chamber conducts an annual review process for officers and key officers, other than the president and ceo, which may result in cost-of-living or merit increases.”
