“The form 990 is prepared by an independent tax accountant, and reviewed by the organization's director of operations and executive director; adjustments are made, as necessary. A complete copy of the form 990 is provided to all members of the governing body prior to filing with the internal revenue service.”

“Each director, principal officer, and member of a committee with board-delegated powers annually signs a conflict of interest disclosure statement; in addition, these individuals have an on-going duty to disclose any potential or actual conflicts of interest. Should a potential conflict be identified, the conflicted individual has the opportunity to disclose to the board all material facts; thereafter, the conflicted individual leaves the board meeting while the determination of conflict of interest is discussed and voted upon. Should the board determine an actual conflict of interest exists, the board exercises due diligence to determine whether the organization can obtain (with reasonable efforts) a more advantageous transactions or arrangement form a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the board shall determine by a majority vote of the directors then in office (without counting the vote of the interested director or directors), whether the transaction is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. The proceedings are recorded in the minutes of the board meeting.”
